Mysyk (“Defendant”) having entered a general 21 appearance; consented to the Court’s jurisdiction over Defendant and the subject 22 matter of this action; consented to entry of this Judgment without admitting or 23 denying the allegations of the Complaint (except as to jurisdiction); waived 24 findings of fact and conclusions of law; and waived any right to appeal from this 25 Final Judgment: -1- I. 1 2 IT IS HEREBY ORDERED, ADJUDGED, AND DECREED that Defendant 3 is permanently restrained and enjoined from violating Section 17(a)(2), (3) of the 4 Securities Act of 1933 (the “Securities Act”) [15 U.S.C. § 77q(a)(2), (3) ] in the 5 6 7 offer or sale of any security by the use of any means or instruments of transportation or communication in interstate commerce or by use of the mails, directly or indirectly: 8 9 (a) to obtain money or property by means of any untrue statement of a 10 material fact or any omission of a material fact necessary in order to 11 make the statements made, in light of the circumstances under which 12 they were made, not misleading; or 13 14 (b) to engage in any transaction, practice, or course of business which operates or would operate as a fraud or deceit upon the purchaser. 15 16 17 18 IT IS FURTHER ORDERED, ADJUDGED AND DECREED that, as provided in Federal Rule of Civil Procedure 65(d)(2), the foregoing paragraph also binds the following who receive actual notice of this Judgment by personal service 19 20 or otherwise: (a) Defendant’s officers, agents, servants, employees, and attorneys; 21 and (b) other persons in active concert or participation with Defendant or with 22 anyone described in (a). 23 24 25 -2- II. 1 2 IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED 3 that Defendant is permanently restrained and enjoined from violating Section 5 of 4 the Securities Act [15 U.S.C. § 77e] by, directly or indirectly, in the absence of any 5 applicable exemption: 6 7 (a) Unless a registration statement is in effect as to a security, making use 8 of any means or instruments of transportation or communication in 9 interstate commerce or of the mails to sell such security through the 10 use or medium of any prospectus or otherwise; 11 12 (b) Unless a registration statement is in effect as to a security, carrying or causing to be carried through the mails or in interstate commerce, by 13 14 any means or instruments of transportation, any such security for the 15 purpose of sale or for delivery after sale; or 16 17 18 19 (c) Making use of any means or instruments of transportation or communication in interstate commerce or of the mails to offer to sell or offer to buy through the use or medium of any prospectus or 20 21 otherwise any security, unless a registration statement has been filed 22 with the Commission as to such security, or while the registration 23 statement is the subject of a refusal order or stop order or (prior to the 24 effective date of the registration statement) any public proceeding or 25 -3- examination under Section 8 of the Securities Act [15 U.S.C. § 77h]. 1 2 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that, as 3 provided in Federal Rule of Civil Procedure 65(d)(2), the foregoing paragraph also 4 binds the following who receive actual notice of this Judgment by personal service 5 6 or otherwise: (a) Defendant’s officers, agents, servants, employees, and attorneys; 7 and (b) other persons in active concert or participation with Defendant or with 8 anyone described in (a). 9 III. 10 11 12 IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that Defendant is permanently barred from participating in an offering of penny 13 stock, including engaging in activities with a broker, dealer, or issuer for purposes 14 15 of issuing, trading, or inducing or attempting to induce the purchase or sale of any 16 penny stock. A penny stock is any equity security that has a price of less than five 17 dollars, except as provided in Rule 3a51-1 under the Exchange Act [17 C.F.R. 18 240.3a51-1]. 19 20 IV. 21 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that the 22 Consent is incorporated herein with the same force and effect as if fully set forth 23 herein, and that Defendant shall comply with all of the undertakings and 24 agreements set forth therein. 25 -4- V. 1 2 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that this 3 4 Court shall retain jurisdiction of this matter for the purposes of enforcing the terms 5 of this Judgment and of resolving Plaintiff’s requests for other relief against the 6 Defendant as set forth in the Complaint. 7 8 9 Dated: August 28, 2015 ____________________________________ UNITED STATES DISTRICT JUDGE 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 -5-
