The purpose of this Protective Order is to allow the Parties to have 28 reasonable access to information from each other while protecting information 2530/031445-0008 8979166.1 a12/04/15a12/16/15 -1- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON 1 which is proprietary or confidential from disclosure to any potential competitors and 2 the public. The Parties agree that expeditious discovery will be facilitated by the 3 entry of an order setting forth procedures governing the discovery. Accordingly, the 4 Parties stipulate to, and petition the Court to enter, this proposed Protective Order. 5 2. The Parties have agreed that a protective order preserving the 6 confidentiality of designated documents and information should be entered by the 7 United States District Court for the Central District of California for the purposes of 8 avoiding or minimizing discovery disputes as to matters which a party deems 9 confidential and requiring additional protection. 10 3. Nothing in this Protective Order itself shall constitute an 11 acknowledgment by a party, other than the designating Party, that any document or 12 information designated confidential is in fact legally protected proprietary 13 information, confidential business information, trade secret information, and/or 14 proprietary information with respect to any of the materials covered by this 15 Protective Order. Neither the fact of the requested designation nor the failure of any 16 remaining party to object to the designation shall be interpreted or may be cited as 17 creating any presumption or proof of the document or information as legally 18 protected, confidential, a trade secret, or otherwise privileged in any way. Nothing 19 in this Protective Order shall obligate the Parties to produce any documents pursuant 20 to this Protective Order or otherwise. 21 4. This Protective Order shall govern the production, use, and 22 maintenance of confidential and proprietary information produced in discovery in 23 this action, including testimony given at any deposition or informal question and 24 answer session with counsel present, interrogatory answers, admissions and other 25 responses to written discovery, documents, and other discovery materials produced 26 by the Parties, and designated as Confidential Information pursuant to the 27 procedures described herein and other materials derived therefrom. 28 5. 2530/031445-0008 8979166.1 a12/04/15 As used in this Protective Order the word: -2- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON a. 1 2 “person” shall include Plaintiffs, Defendants, and their respective attorneys. b. 3 “Discovering Party” and “Receiving Party” shall mean 4 respectively the party seeking discovery and/or receiving discovery responses, 5 information, or documents. c. 6 “Producing Party” or “Designating Party” shall mean the party 7 responding to discovery, and/or producing information or documents in 8 response to the Discovering Party’s discovery demands or requests. d. 9 “Confidential Information” means information that is designated 10 as “CONFIDENTIAL” in accordance with the terms of this Protective Order, 11 and includes any type of information, documents, or material which the 12 Producing Party reasonably and justifiably believes to constitute or contain 13 confidential information, proprietary business information, unpublished 14 financial data, or other sensitive information of a personal or privileged nature 15 generally recognized as confidential or private. 16 6. Whenever a Producing Party or other person provides to the Parties 17 material which contains or discloses Confidential Information, that Producing Party 18 or other person shall mark each page containing Confidential Information with a 19 legend substantially as follows: “CONFIDENTIAL.” In lieu of marking the original 20 documents, the Producing Party or other person may mark the copies that are 21 produced. All documents so designated shall be labeled or stamped prior to the 22 transmission of a physical copy thereof to the Receiving Party. In the case of 23 Confidential Information in a non-paper medium (e.g., video tape, audio tape, 24 computer disc, etc.), the notation “CONFIDENTIAL” shall be affixed to the outside 25 of the medium or its container so as to clearly give notice of the designation. 26 7. A Producing Party or other person may designate as Confidential 27 Information any material provided to the Parties that meets the definition of 28 “Confidential Information” set forth in Paragraph 5(d) of this Protective Order. 2530/031445-0008 8979166.1 a12/04/15 -3- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON 1 8. Confidential Information shall not be publicly disclosed to any other 2 person or entity other than the Parties, unless in accordance with the terms of this 3 Stipulated Protective Order. Confidential Information may be used only in 4 connection with the prosecution or defense of the above-captioned action, including, 5 without limitation, trial, appeal, and any retrials, and not for any other business or 6 other purpose whatsoever, unless obtained through summons, subpoena, or 7 document demand in another proceeding in a court of competent jurisdiction 8 wherein no protective order or other order protects the Confidential Information 9 from disclosure or use. Except as described herein or by order of this Court, all 10 Confidential Information shall be kept by the Parties in a confidential manner, and 11 shall not be given, shown, disclosed, disseminated, or described, directly or 12 indirectly, to any person(s) other than those qualified persons set forth in Paragraph 13 10 and its subparagraphs of this Protective Order. 14 9. This Protective Order does not govern the admissibility of evidence at 15 deposition, trial, or on appeal, and does not restrict a party’s ability to introduce as 16 evidence at deposition, trial, or on appeal any material that has been designated by 17 any party or nonparty as Confidential Information. 18 10. For purposes of the preparation, trial, and any appeal of this action, and 19 subject to this Protective Order, the Receiving Party may disclose Confidential 20 Information and the contents of Confidential Information marked as 21 “CONFIDENTIAL” only to the following qualified persons: a. 22 Each lawyer for a party in this case, including outside and in- 23 house lawyers, including an co-counsel, and other lawyers regularly 24 employed in their offices, and such lawyers’ staff to whom it is necessary that 25 materials be disclosed for purposes of this litigation, including secretaries, 26 paralegals and document clerks; b. 27 28 Each party, and any current or former partner, director, officer, employee, or agent of a party who is requested by that party or any of its 2530/031445-0008 8979166.1 a12/04/15 -4- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON 1 attorneys to work on this action; c. 2 Experts designated or consulted by the Parties (“Receiving 3 Expert”) concerning the preparation, trial, and appeal including any retrials of 4 this action, including their staff to whom it is necessary that materials be 5 disclosed for purposes of this litigation, but only to the extent necessary that 6 materials be disclosed for such expert or consultant to perform his or her 7 assigned tasks in connection with this litigation; d. 8 9 Mediators, arbitrators, or similar outside third parties and their staffs enlisted by all Parties to assist in the resolution of this matter; 10 e. Outside commercial copying services; 11 f. Deposition reporters and videographers; 12 g. Any other person whom the Court deems necessary to be privy 13 to Confidential Information, with the party seeking disclosure of such 14 information having the burden of proving by a preponderance of evidence that 15 such disclosure is reasonably necessary, provided that prior to disclosure of 16 any “Confidential Information” to any such person, each such person has 17 completed and signed a Confidentiality Statement in the form attached as 18 Exhibit “A” to this Protective Order; h. 19 Court reporters and their staff, the Court, and any person 20 employed by the Court whose duties require access to Confidential 21 Information; and i. 22 Any representatives of an insurer providing a defense or 23 indemnity for the claims which are the subject of this action. 24 11. The persons identified in Paragraph 10 and its subparagraphs above 25 shall not disclose Confidential Information or discuss the content thereof with 26 anyone other than the foregoing persons without the prior written consent of counsel 27 for the party or nonparty who designated such Confidential Information. If counsel 28 determines that disclosure of Confidential Information to another third party is 2530/031445-0008 8979166.1 a12/04/15 -5- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON 1 necessary or appropriate, or if counsel objects to a party’s designation of 2 Confidential Information as “CONFIDENTIAL,” he may raise a challenge in full 3 compliance with Local Rule 37. If the Designating Party does not bring a Motion in 4 compliance with Local Rule 37 within ten (21) calendar days after service of a 5 Request to Disclose or Challenge to Designation, then the identified Confidential 6 Information may be disclosed to the person or persons identified and the person or 7 persons to whom disclosure occurs shall be entitled to review the Confidential 8 Information; provided, however, the person or persons shall be subject to and 9 governed by Paragraph 15 of this Protective Order. 10 12. All depositions taken by any of the Parties at which any Confidential 11 Information is to be used or is inquired into shall be conducted only in the presence 12 of the deposition witness and his or her counsel, and other persons described in 13 Paragraph 10 and its subparagraphs of this Protective Order. 14 13. Counsel for any deponent or party may designate deposition testimony 15 or exhibits as Confidential Information by so indicating on the record at the 16 deposition. Failure of counsel to designate testimony or exhibits as “Confidential 17 Information” at depositions, however, shall not constitute a waiver of the 18 confidentiality of the testimony or exhibits, provided that within twenty-one (21) 19 calendar days following the completion and delivery of the deposition transcript to 20 such counsel, counsel shall designate in writing specific portions of the deposition 21 testimony, transcript, or exhibits as Confidential Information. Counsel shall 22 specifically include in such designation any portion of the deposition testimony or 23 exhibits that were designated as Confidential Information on the record at the 24 deposition. During this twenty-one (21) calendar day period, the deposition 25 testimony, transcript, and exhibits will be treated as Confidential Information. 26 14. When material disclosed during a deposition is designated as 27 Confidential Information at the time testimony is given, the reporter shall mark the 28 face of the transcript with “PORTIONS OF THIS TRANSCRIPT ARE 2530/031445-0008 8979166.1 a12/04/15 -6- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON 1 DESIGNATED AS CONFIDENTIAL--SUBJECT TO PROTECTIVE ORDER.” 15. 2 Each person (other than those persons identified in Paragraphs 10a, 3 10b, 10d, 10e, 10f, 10h, and 10i) to whom any Confidential Information is 4 disclosed, prior to such disclosure, shall (1) be given a copy of this Protective Order 5 by counsel for the party disclosing such Confidential Information and (2) be bound 6 by the terms of this Protective Order if they (3) certify by signing a Confidentiality 7 Statement in the form attached as Exhibit “A” to this Protective Order, confirming 8 he or she has carefully read this Protective Order, fully understands its terms, and 9 will abide by its terms. Counsel for the party disclosing such Confidential 10 Information shall be responsible for maintaining the Confidentiality Statements. 16. 11 Nothing in this Protective Order shall restrict a party to this litigation 12 from sharing with other persons (including without limitation the Parties’ 13 employees, counsel, in-house counsel, witnesses and retained and un-retained 14 experts and consultants) documents or information not obtained through discovery 15 in this action. 17. 16 If any party to this litigation disagrees at any stage of these proceedings 17 with the designation of any information as Confidential Information, the Parties 18 shall try first to resolve such disputes in good faith between themselves. If the 19 dispute cannot be resolved, the party objecting to the designation of any information 20 as Confidential Information may seek appropriate relief from the Court under Local 21 Rule 37, and the party designating information as Confidential Information shall 22 have the burden of proving by a preponderance of the evidence that such 23 designation was proper. Pending resolution of any motion filed pursuant to this 24 paragraph, all Parties and other persons bound by this Order shall continue to treat 25 the disputed material as Confidential Information until the issue is resolved by the 26 Court. 27 18. If any Confidential Information is disclosed, through inadvertence or 28 otherwise, to any person or party not authorized under this Protective Order, then 2530/031445-0008 8979166.1 a12/04/15 -7- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON 1 the disclosing party shall use its best efforts to bind such person to the terms of this 2 Protective Order, and the disclosing party shall promptly inform such person of all 3 the provisions of this Protective Order and secure from such person a 4 Confidentiality Statement, which counsel for the disclosing party shall similarly 5 maintain. If such person refuses to sign a Confidentiality Statement and abide by 6 the terms of this Protective Order, then the disclosing party shall, absent further 7 application to and order of Court, disclose to the Designating Party the name, 8 address, and telephone number of the person and further identify to the Designating 9 Party what Confidential Information was disclosed to that person. 10 19. This Protective Order is without prejudice to any rights to object to the 11 production of documents or information on any basis, to apply to the Court for a 12 further protective order, to object to any discovery request, or to apply to the Court 13 for an order compelling further discovery responses or production of documents, or 14 for an order that certain documents and information produced by the another party 15 shall not be deemed Confidential Information. 16 20. A Receiving Party that intends to file with the Court any information 17 that the Designating Party has designated as Confidential Information shall follow 18 the procedures below: a. 19 The party shall give notice of such intent to the Designating 20 Party that so designated the Confidential Information, at least ten (10) calendar days 21 prior to the filing of the Confidential Information or the earliest practicable notice, if 22 required as part of an expedited filing or in opposition or reply papers connected 23 with a motion. Such notice shall include specific identification of the Confidential 24 Information to be filed with the Court. b. 25 The Designating Party may then file a motion to seal pursuant to 26 Local Rule 79-5; absent doing so before the notice of filing date will mean that the 27 filing of the Confidential Information may be publicly filed. c. 28 2530/031445-0008 8979166.1 a12/04/15 If such motion to seal is filed, while it is pending, the party filing -8- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON 1 the Confidential Information shall conditionally lodge the Confidential Information 2 with the Court; d. 3 If the court determines that the Confidential Information does not 4 warrant an Order to be sealed, then the Confidential Information which were 5 conditionally lodged shall be filed in the public records of the Court. 6 21. If the Designating Party that produced the Confidential Information 7 was served with notice in compliance with Paragraph 20a and fails to file a motion 8 or an application to seal the record within ten (10) calendar days or to obtain a court 9 order extending the time to file such a motion or an application, then the 10 Confidential Information which were conditionally lodged shall be filed in the 11 public records of the Court. 12 22. Insofar as this Protective Order restricts the communication and use of 13 Confidential Information, this Protective Order shall continue to be binding after the 14 conclusion of this litigation, except that a party may seek the written permission of 15 the Producing Party or further order of the Court with respect to dissolution or 16 modification of this Protective Order. 17 23. If any party or person having possession, custody, or control of any 18 Confidential Information receives a subpoena or other process or order to produce 19 Confidential Information, then he, she, or it will promptly: a. 20 Notify in writing the attorneys of record of the party claiming 21 confidentiality of the Confidential Information sought by the subpoena or other 22 process or order; b. 23 Furnish those attorneys with a copy of the subpoena or other 24 process or order; and c. 25 Provide reasonable cooperation with respect to a procedure to 26 protect the Confidential Information. If the party asserting confidentiality makes a 27 motion to quash or modify the subpoena, process, or order, then there will be no 28 disclosure, process, or order until the Court has ruled on the motion unless the Court 2530/031445-0008 8979166.1 a12/04/15 -9- Case No. 5:15-cv-00569-PSG-JPR STIPULATED PROTECTIVE ORDER AND [PROPOSED] ORDER THEREON 1 so orders, and then only in accordance with the Court’s ruling. If no motion is made 2 despite a reasonable opportunity to do so, then the person or party receiving the 3 subpoena or other process or order will be entitled to comply with it, if the person or 4 party has fulfilled its obligations under the Protective Order. This Order does not 5 entitle any person or party to disobey a lawfully issued subpoena or other process. 6 24. The taking of, or the failure to take, any action to enforce the provisions 7 of this Protective Order, or the failure to object to any designation of Confidential 8 Information as “CONFIDENTIAL” or any such action or omission, will not 9 constitute a waiver of any right to seek and obtain protection or relief, other than as 10 specified in this Protective Order, nor will it be construed to be admissible or 11 offered before any court, agency, or tribunal in this action or any other action, as 12 evidence for any claim or defense that any information is or is not relevant, material, 13 or otherwise discoverable; is or is not confidential or proprietary to any party; or is 14 or is not entitled to particular protection. 15 25. The Parties may amend this Protective Order in writing and may seek 16 to have the amendments entered by the Court as part of this Protective Order. 17 26. This Protective Order, upon entry as such by the Court, shall bind the 18 Parties represented by the undersigned counsel, the Parties’ agents, officers, 19 directors, employees, and representatives. 20 27. The terms of this Protective Order shall survive and remain in full force 21 and effect after the termination of this action. 22 28. This Protective Order may be executed in counterparts and by 23 facsimile, portable document format, and e-mail, each of which shall be deemed an 24 original, and all of which together shall constitute one single original Protective 25 Order. 26 29.
