P. 58(a) and the Order Granting 25 in Part Plaintiff’s Motion for Remedies and Judgment [Dkt 337], filed February 16, 26 2021, by the Honorable Stephen V. Wilson, United States District Judge, and 27 incorporated herein by reference as if fully set forth: 28 1 1 2 I. IT IS HEREBY ORDERED, ADJUDGED, AND DECREED that Defendants 3 Robert Yang and Claudia Kano are permanently restrained and enjoined from violating, 4 directly or indirectly, Section 10(b) of the Securities Exchange Act of 1934 (the 5 “Exchange Act”) [15 U.S.C. § 78j(b)] and Rule 10b-5 promulgated thereunder [17 6 C.F.R. § 240.10b-5], by using any means or instrumentality of interstate commerce, or 7 of the mails, or of any facility of any national securities exchange, in connection with 8 the purchase or sale of any security: 9 (a) to employ any device, scheme, or artifice to defraud; 10 (b) to make any untrue statement of a material fact or to omit to state a 11 material fact necessary in order to make the statements made, in the light 12 of the circumstances under which they were made, not misleading; or 13 (c) would operate as a fraud or deceit upon any person. 14 15 to engage in any act, practice, or course of business which operates or IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that, as provided 16 in Federal Rule of Civil Procedure 65(d)(2), the foregoing paragraph also binds the 17 following who receive actual notice of this Final Judgment by personal service or 18 otherwise: (a) Defendant’s officers, agents, servants, employees, and attorneys; and (b) 19 other persons in active concert or participation with Defendant or with anyone 20 described in (a). 21 II. 22 IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that 23 Defendants Robert Yang and Claudia Kano are permanently restrained and enjoined 24 from violating Section 17(a) of the Securities Act of 1933 (the “Securities Act”) [15 25 U.S.C. § 77q(a)] in the offer or sale of any security by the use of any means or 26 instruments of transportation or communication in interstate commerce or by use of the 27 mails, directly or indirectly: 28 (a) to employ any device, scheme, or artifice to defraud; 2 1 (b) to obtain money or property by means of any untrue statement of a 2 material fact or any omission of a material fact necessary in order to make 3 the statements made, in light of the circumstances under which they were 4 made, not misleading; or 5 (c) to engage in any transaction, practice, or course of business which operates 6 or would operate as a fraud or deceit upon the purchaser. 7 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that, as provided in 8 Federal Rule of Civil Procedure 65(d)(2), the foregoing paragraph also binds the 9 following who receive actual notice of this Final Judgment by personal service or 10 otherwise: (a) Defendant’s officers, agents, servants, employees, and attorneys; and (b) 11 other persons in active concert or participation with Defendant or with anyone 12 described in (a). 13 14 III. IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that 15 Defendant Robert Yang is liable for disgorgement of $1,414,250.00, together with 16 prejudgment interest thereon in the amount of $166,425.19, and a civil penalty in the 17 amount of $1,938,600.00 pursuant to Section 20(d) of the Securities Act [15 U.S.C. § 18 77t(d)] and Section 21(d) of the Exchange Act [15 U.S.C. § 78u(d)], for a total of 19 $3,519,275.19. Defendant Yang shall satisfy this obligation by paying $3,508,275.19 to 20 the Securities and Exchange Commission pursuant to the terms set forth in paragraph 21 VIII below. 22 23 IV. IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that 24 Defendant Claudia Kano is liable for disgorgement of $101,843.00, together with 25 prejudgment interest thereon in the amount of $11,985.00, and a civil penalty in the 26 amount of $101,843.00 pursuant to Section 20(d) of the Securities Act [15 U.S.C. § 27 77t(d)] and Section 21(d) of the Exchange Act [15 U.S.C. § 78u(d)], for a total of 28 $215,671.00. Defendant Kano shall satisfy this obligation by paying the total amount 3 1 of $215,671.00 to the Securities and Exchange Commission pursuant to the terms set 2 forth in paragraph VIII below. 3 4 V. IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that 5 Defendant Robert Yang and Relief Defendant Yanrob’s Medical, Inc. are liable jointly 6 and severally for disgorgement of $524,350.00, together with prejudgment interest 7 thereon in the amount of $57,318.00, for a total of $581,668.00. Defendant Yang and 8 Relief Defendant Yanrob’s Medical, Inc. shall satisfy this obligation by paying the total 9 amount of $581,668.00 to the Securities and Exchange Commission pursuant to the 10 11 12 terms set forth in paragraph VIII below. VI. IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that 13 Relief Defendant HealthPro Capital Partners, LLC is liable for disgorgement of 14 $128,000.00, together with prejudgment interest thereon in the amount of $15,063.00, 15 for a total of $143,063.00. Relief Defendant HealthPro Capital Partners, LLC shall 16 satisfy this obligation by paying the total amount of $143,063.00 to the Securities and 17 Exchange Commission pursuant to the terms set forth in paragraph VIII below. 18 19 20 21 22 23 24 25 26 27 28 VII. IT IS HEREBY FURTHER ORDERED, ADJUDGED, AND DECREED that Relief Defendant Suncor Care, Inc. is liable for disgorgement of $125,001.00, together with prejudgment interest thereon in the amount of $14,710.00, for a total of $139,711.00. Relief Defendant HealthPro Capital Partners, LLC shall satisfy this obligation by paying the total amount of $139,711.00 to the Securities and Exchange Commission pursuant to the terms set forth in paragraph VIII below. VIII. The Defendants and Relief Defendants may transmit payment electronically to the Securities and Exchange Commission, which will provide detailed ACH transfer/ or 4 1 Fedwire instructions upon request. Payment may also be made directly from a bank 2 account via Pay.gov through the SEC website at 3 http://www.sec.gov/about/offices/ofm.htm. Defendants and Relief Defendants may also 4 pay by certified check, bank cashier’s check, or United States postal money order 5 payable to the Securities and Exchange Commission, which shall be delivered or mailed 6 to 7 Enterprise Services Center 8 Accounts Receivable Branch 9 6500 South MacArthur Boulevard 10 Oklahoma City, OK 73169 11 12 13 14 and shall be accompanied by a letter identifying the case title, civil action number, and name of this Court; the name of the Defendant or Relief Defendant making the payment in this action; and specifying that payment is made pursuant to this Final Judgment. Defendants and Relief Defendants shall simultaneously transmit photocopies of 15 16 17 18 19 evidence of payment and case identifying information to the Securities and Exchange Commission’s counsel in this action. By making payment, Defendants and Relief Defendants relinquish all legal and equitable right, title, and interest in such funds and no part of the funds shall be returned to the Defendants or Relief Defendants. The Securities and Exchange Commission may enforce the Court’s judgment for 20 21 22 23 24 25 26 27 28 disgorgement and prejudgment interest by using all collection procedures authorized by law. The Securities and Exchange Commission may enforce the Court’s judgment for penalties by the use of all collection procedures authorized by law, including the Federal Debt Collection Procedures Act, 28 U.S.C. § 3001 et seq. Defendants and Relief Defendants shall pay post judgment interest on any delinquent amounts pursuant to 28 U.S.C. § 1961. The Securities and Exchange Commission shall direct all payments made by 5 1 Defendants Robert Yang and Claudia Kano pursuant to this Judgment towards 2 fulfillment of their disgorgement liability until that liability is extinguished (i.e., no 3 payments made by Defendants Robert Yang and Claudia Kano should be used to 4 extinguish their civil penalty liability until and unless their disgorgement liability is 5 extinguished). The Securities and Exchange Commission shall hold the funds, together with any 6 7 interest and income earned thereon (collectively, the “Fund”), pending further order of 8 the Court. The Securities and Exchange Commission may propose a plan to distribute 9 the Fund subject to the Court’s approval. Such a plan may provide that the Fund shall 10 be distributed pursuant to the Fair Fund provisions of Section 308(a) of the Sarbanes- 11 Oxley Act of 2002. The Court shall retain jurisdiction over the administration of any 12 distribution of the Fund and the Fund may only be disbursed pursuant to an Order of the 13 Court. 14 Regardless of whether any such Fair Fund distribution is made, amounts ordered 15 to be paid as civil penalties pursuant to this Final Judgment shall be treated as penalties 16 paid to the government for all purposes, including all tax purposes. To preserve the 17 deterrent effect of the civil penalty, Defendants shall not, after offset or reduction of any 18 award of compensatory damages in any Related Investor Action based on Defendants’ 19 payment of disgorgement in this action, argue that he or she is entitled to, nor shall he 20 or she further benefit by, offset or reduction of such compensatory damages award by 21 the amount of any part of Defendants’ payment of a civil penalty in this action 22 (“Penalty Offset”). If the court in any Related Investor Action grants such a Penalty 23 Offset, Defendants shall, within 30 days after entry of a final order granting the Penalty 24 Offset, notify the Securities and Exchange Commission’s counsel in this action and pay 25 the amount of the Penalty Offset to the United States Treasury or to a Fair Fund, as the 26 Securities and Exchange Commission directs. Such a payment shall not be deemed an 27 additional civil penalty and shall not be deemed to change the amount of the civil 28 penalty imposed in this Judgment. For purposes of this paragraph, a “Related Investor 6 1 Action” means a private damages action brought against either Defendant by or on 2 behalf of one or more investors based on substantially the same facts as alleged in the 3 Complaint in this action. 4 5 6 7 8 9 10 11 12 13 14 IX. IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that, solely for purposes of exceptions to discharge set forth in Section 523 of the Bankruptcy Code, 11 U.S.C. § 523, the allegations in the Amended Complaint are deemed true and admitted by Defendants Robert Yang and Claudia Kano, and further, any debt for disgorgement, prejudgment interest, civil penalty or other amounts due by Defendants under this Judgment or any other judgment, order, consent order, decree or settlement agreement entered in connection with this proceeding, is a debt for the violation by Defendants of the federal securities laws or any regulation or order issued under such laws, as set forth in Section 523(a)(19) of the Bankruptcy Code, 11 U.S.C. § 523(a)(19). X. 15 16 IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that this Court 17 shall retain jurisdiction of this matter for the purposes of enforcing the terms of this 18 Judgment. 19 20 21 22 23 24 25 26 27 28 XI. There being no just reason for delay, pursuant to Rule 54(b) of the Federal Rules of Civil Procedure, the Clerk is ordered to enter this Final Judgment forthwith and without further notice.
