EYAI has never used the ENTREPRENEUR OF THE YEAR mark in

the United States or elsewhere.

EYAI has never contacted or communicated with Entrepreneur Media,

Inc. (“EMI”) regarding use of or rights in the ENTREPRENEUR OF THE YEAR

mark.

There is no dispute between EYAI and EMI concerning the

ENTREPRENEUR OF THE YEAR mark or any variation of that mark in the

United States.
