Solis, Secretary of Labor, United States Department of Labor (“Secretary”) and Defendants TERRA UNIVERSAL, INC., a California corporation, and GEORGE SADAGHIANI, individually and as managing agent of the corporate defendants (collectively, “Defendants”), have agreed to resolve the matters in controversy in this civil action and consent to the entry of this Consent Judgment in accordance herewith: Consent Judgment (Sol#1119411) Page 1 of 16 1 A. The Secretary has filed a Complaint alleging that Defendants violated pro- 2 visions of Sections 15(a)(2) and 15(a)(5) of the Fair Labor Standards Act of 1938, as 3 amended (“FLSA”), 29 U.S.C. §§ 215(a)(2) and 215(a)(5). 4 5 6 7 8 9 10 11 B. Defendants have appeared and having retained defense counsel acknowl- edge receipt of a copy of the Secretary’s Complaint. C. Defendants waive issuance and service of process and waive answer and any defenses to the Secretary’s Complaint. D. The Secretary and Defendants waive Findings of Fact and Conclusions of Law, and agree to the entry of this Consent Judgment in settlement of this action, without further contest. E. Defendants acknowledge that pursuant to FLSA § 7(e), 29 U.S.C. § 207 and 12 29 C.F.R. §778.208 certain bonus payments must be totaled in with other earnings to de- 13 termine the regular rate on which overtime pay must be based. 14 F. Defendants agree that all work performed by a single employee during a 15 pay period will be recorded on one time sheet and not split up on multiple timesheets re- 16 gardless of the number of duties or tasks performed by that employee. 17 18 19 20 G. Defendants admit that the Court has jurisdiction over the parties and subject matter of this civil action and that venue lies in the Central District of California. It is therefore, upon motion of the attorneys for the Secretary, and for cause shown, 21 ORDERED, ADJUDGED, AND DECREED that the Defendants, their officers, 22 agents, servants, and employees and those persons in active concert or participation with 23 them who receive actual notice of this order (by personal service or otherwise) be, and 24 they hereby are, permanently enjoined and restrained from violating the provisions of 25 Sections 15(a)(2) and 15(a)(5) of the FLSA, 29 U.S.C. §§215(a)(2) and 215(a)(5), in any 26 of the following manners: 27 1. Defendants shall not, contrary to FLSA § 7, 29 U.S.C. § 207, employ any em- 28 ployee who in any workweek is engaged in commerce, within the meaning of the FLSA, Consent Judgment (Sol#1119411) Page 2 of 16 1 or is employed in an enterprise engaged in commerce or in the production of goods for 2 commerce, within the meaning of FLSA § 3(s), for any workweek longer than 40 hours 3 unless such employee receives compensation for his or her employment in excess of 40 4 hours in such workweek at a rate not less than one and one-half times the regular rate at 5 which he or she is employed. 6 2. Defendants shall not fail to make, keep, make available to authorized agents of 7 the Secretary for inspection, transcription, and/or copying, upon their demand for such 8 access, and preserve records of employees and of the wages, hours, and other conditions 9 and practices of employment maintained, as prescribed by regulations issued, and from 10 time to time amended, pursuant to FLSA §§ 11(c) and 15(a)(5), 29 U.S.C. §§ 211(c) and 11 215(a)(5) and the implementing regulations found in Title 29, Code of Federal Regula- 12 tions, Part 516. 13 3. Defendants, jointly and severally, shall not continue to withhold the payment 14 of $373,738.50 in overtime pay hereby found to be due under the FLSA to 224 employ- 15 ees, as a result of their employment by Defendants during the period of August 5, 2007 16 through August 4, 2010 as set forth in the attached Exhibit 1, showing the name of each 17 employee and listing on the same line the gross backwage amount due the employee and 18 the period covered by the Consent Judgment. 19 4. The Defendants, jointly and severally, shall not continue to withhold payment 20 of $98,560.00 in unpaid civil money penalties assessed against the Defendants and fi- 21 nally determined, pursuant to authority granted in FLSA § 16(e), for violations of 22 the overtime pay provisions of the FLSA during the aforementioned backwage accrual 23 period. 24 5. To accomplish the requirements of Paragraphs 3 and 4, Defendants shall de- 25 liver to the Wage and Hour Division, United States Department of Labor, 770 The City 26 Drive South, Suite 5710, Orange CA 92868, the following: 27 a. On or before May 16, 2011, a schedule in duplicate bearing the firm 28 name, employer identification number(s), address, and phone number of the De- Consent Judgment (Sol#1119411) Page 3 of 16 1 fendants and showing the name, last known (home) address, social security num- 2 ber, and gross backwage amount for each person listed in the attached Exhibit 1; 3 b. On or before June 8, 2011 a certified or cashier’s check or money order 4 in the amount of $373,738.50 with the firm name and “BWs” written thereon, 5 payable to the order of the “Wage & Hour Div., Labor,” in payment of the over- 6 time backwages. 7 c. In the event of a default in the timely making of any of the payments 8 specified herein, the full amount under the backwage provisions of this Judgment 9 which then remains unpaid, plus interest at the rate of ten percent (10%) per year, 10 from the date of this Judgment until the full amount of this Judgment is paid in 11 full, shall become due and payable upon the Secretary’s sending by ordinary mail 12 a written demand to the last business address of the Defendants then known to the 13 14 Secretary; d. On or before September 30, 2011, a certified or cashier's check or money 15 order with the firm name and "OT/CMP" written thereon payable to the order of 16 "Wage & Hour Div., Labor," in the amount of $98,560.00 in payment of the civil 17 money penalty assessed against the defendants for overtime pay violations plus in- 18 terest. 19 6. The Secretary shall allocate and distribute the funds described in paragraph 3 20 less deductions for employees’ share of social security and withholding taxes to the per- 21 sons named in the attached Exhibit 1, or to their estates if that be necessary, in her sole 22 discretion, and any money not so paid within a period of three years from the date of its 23 receipt, because of an inability to locate the proper persons or because of their refusal to 24 accept it, shall be then deposited in the Treasury of the United States, as miscellaneous 25 receipts, pursuant to 29 U.S.C. § 216(c). 26 7. The Secretary shall be responsible for deducting from the amounts paid to 27 employees named in Exhibit 1 the employees’ share of F.I.C.A. and federal income 28 taxes, and for remitting said deductions to the appropriate federal agencies.
