TUCKER ELLIS LLP Cleveland ♦ Columbus ♦ Denver ♦ Los Angeles ♦ San Francisco 10 The parties do not waive in any manner, their rights and remedies under Rule 26(b) of the 11 Federal Rules of Civil Procedure. 2. 12 Any Person shall have the right, before disclosure to other parties, to 13 designate as “CONFIDENTIAL” or “CONFIDENTIAL – ATTORNEYS’ EYES ONLY” 14 any Discovery Material it produces or provides that the party and an attorney or legal 15 assistant on behalf of the party in good faith believe constitutes, reflects or discloses its 16 trade secrets or other confidential research, development, or commercial information 17 within the scope of Fed. R. Civ. P. 26(c)(1)(G). 3. 18 Discovery Material designated as “CONFIDENTIAL” shall be limited to 19 Discovery Material that the designating Person believes in good faith must be held 20 confidential to protect business or commercial interests. 4. 21 Discovery Material designated as “CONFIDENTIAL – ATTORNEYS’ 22 EYES ONLY” shall be limited to Discovery Material that the designating Person believes 23 in good faith is so commercially sensitive or confidential that the disclosure to 24 employees, principals, and/or officers/directors of another party, even under the restricted 25 26 1 The term “document as used herein shall include any “documents or electronically stored information - including writings, drawings, graphs, charts, photographs, sound 27 recordings, images, and other data or data compilations – stored in any medium from 28 which information can be obtained . . ..” See Federal Rules of Civil Procedure 34(a). 2 1 terms and conditions applicable to material designated “CONFIDENTIAL,” would not 2 provide adequate protection to the interests of the producing Person. 3 5. All Discovery Material designated as either “CONFIDENTIAL” OR 4 “CONFIDENTIAL – ATTORNEYS’ EYES ONLY,” and all information derived 5 therefrom, shall be referred to in this Order as “Designated Material” and shall be 6 handled in strict accordance with the terms of this Order. Specifically, absent an order by 7 this Court, such Designated Material shall be used by the parties to this action solely in 8 connection with this action or any appeal therefrom, and not for any other purpose, or any 9 business, patent prosecution, competitive, or governmental purpose or function, ,and such TUCKER ELLIS LLP Cleveland ♦ Columbus ♦ Denver ♦ Los Angeles ♦ San Francisco 10 Designated Material shall not be disclosed to anyone except as provided herein. 11 Designated Material may be disclosed to anyone except as provided herein. Designated 12 Material may be disclosed only under the circumstances and to the persons specifically 13 provided for in this Order or any subsequent Court order, or with the explicit written 14 consent of the designating Person with respect to specifically identified Designated 15 Material. 16 6. Discovery Material designated as “CONFIDENTIAL” or information 17 derived therefrom may be disclosed, shown, or made available, or communicated in any 18 way to the following persons: 19 a. attorneys for the parties to this litigation, including in-house attorneys 20 for the parties, and including persons working solely in secretarial, clerical, and 21 paralegal capacities, and who are providing assistance to counsel in this action; 22 23 24 b. qualified persons taking testimony involving Designated Material, and necessary stenographic, videographic, and clerical personnel thereof; c. consultants or experts and their staff who are employed for the 25 purposes of this litigation, provided that the provisions of Paragraph 11 and 12 of 26 this Order are complied with prior to any disclosure of any Designated Material to 27 such an expert or consultant; 28 d. the Court and the Court’s staff pursuant to Paragraph 14 of this Order; 3 e. 1 the parties and employees of the parties, but only to the extent 2 necessary to participate in, assist in and monitor the progress of this action and for 3 no other purpose; f. 4 third-parties specifically retained to assist outside counsel in copying, 5 imaging, and/or coding of documents but for that purpose only, provided that all 6 such confidential documents are kept and maintained in a separate and secure place 7 and that the third party retained to copy, image, or code confidential documents is 8 not currently performing any services, either as an employee, consultant, or 9 otherwise for any competitor of either party to this action or for one having any TUCKER ELLIS LLP Cleveland ♦ Columbus ♦ Denver ♦ Los Angeles ♦ San Francisco 10 interest adverse to either party to this action; g. 11 witnesses deposed in this action or who are called as witnesses at any 12 hearing in this action, but for only as set forth in Paragraph 15 of this Order. 13 7. Discovery Material designated as “CONFIDENTIAL – ATTORNEYS’ 14 EYES ONLY” or information derived there from may be disclosed, shown, or made 15 available, or communicated in any way only to the following persons: the persons 16 identified in paragraphs 6(a)-6(d), and 6(f)-6(g) of this Protective Order; 17 8. Designated Material shall be so designated by marking or stamping such 18 making “CONFIDENTIAL” OR “CONFIDENTIAL – ATTORNEYS’ EYES ONLY” at 19 such time the material is disclosed, or as soon thereafter as the person or entity seeking 20 the protection becomes aware of the nature of the material disclosed and sought to be 21 protected. 22 9. Where Discovery Material is produced for inspection before being sent to 23 the receiving party, the producing party shall have the right to have persons present in the 24 inspection room at all times during the receiving party’s inspection of such Discovery 25 Material. Any deposition testimony may be classified as Designated Material by 5 indicating on the record at the deposition that the examination or testimony discloses 6 Designated Material under the terms of this Order. The portions of the original 7 deposition transcript, exhibits, and all copies of exhibits thereto that contain material so 8 designated shall be separately bound and prominently marked with the appropriate 9 designation on the cover thereof and, if and when filed with the Court, the confidential TUCKER ELLIS LLP Cleveland ♦ Columbus ♦ Denver ♦ Los Angeles ♦ San Francisco 10 portions of such transcripts shall be filed pursuant to Paragraph 14 of this Order. 11 11. All persons described in Paragraph 6(c) and 6(e) of this Order to whom 12 Designated Material is disclosed or by whom Designated Material is used, including 13 parties, non-parties, and their representatives, shall be informed of and agree to be bound 14 by the terms of this Order and shall take all necessary precautions to prevent any 15 disclosure or use of Designated Material other than as authorized by this Order. a. 16 Prior to disclosing Designated Material to any person, described in 17 Paragraph 6(c) and 6(e) of this Order, the disclosing party shall obtain from such 18 person a written acknowledgment, substantially in the form of Exhibit 1 attached to 19 this Order, that such person has reviewed a copy of this Order and any subsequent 20 Protective Order issued by the Court, will comply with their terms in all respects, 21 and will submit to the jurisdiction of this Court for adjudication of any dispute 22 about whether such person has complied with the terms of this Order and any 23 subsequent Protective Order issued by the Court. 24 dissemination by a receiving party, or its counsel of record, of any Designated 25 Material to any person described in Paragraph 6(c) and 6(e) of this Order, the 26 disseminating party shall obtain and maintain a copy of this acknowledgment 27 evidencing that such person has executed the undertaking set out in this Paragraph 28 11. 5 In addition, prior to b. 1 Individuals who are authorized to review Designated Material 2 pursuant to this Order shall hold the Designated Material and its contents in 3 confidence and shall not divulge the Designated Material or its contents, either 4 verbally or in writing, except as expressly permitted by this Order, unless 5 authorized to do so by a further Order of this Court or as specifically required by 6 law. 7 12. During the court of this action, a party may be requested to produce to 8 another party Discovery Material subject to contractual or other obligations of 9 confidentiality owed to a non-party by the party receiving the request. If the non-party is 13 willing to permit the disclosure of the subject material to the requesting party, the 14 documents shall be produced in accordance with this Order. If the non-party is not 15 willing to permit disclosure of the confidential document or information under the terms 16 of this Order, the demanding party in the litigation shall be notified and any documents 17 withheld on the basis of such contractual or other confidentiality obligation shall be 18 identified on a separate index stating the reason for withholding the document and the 19 person to whom the obligation of confidentiality is owed. This Order shall not preclude 20 any party from moving the Court for an order compelling production of such material, 21 nor shall it preclude any party from asserting any other legal basis to withhold the 22 requested information and materials. 23 13. All Discovery Material designated “CONFIDENTIAL” or 24 “CONFIDENTIAL – ATTORNEYS’ EYES ONLY” shall be kept in secure facilities, 25 and access to those facilities shall be permitted only to those respective persons set forth 26 in Paragraphs 6 and 7 of this Order. 27 14. If Discovery Material designated “CONFIDENTIAL” or “CONFIDENTIAL 28 – ATTORNEYS’ EYES ONLY” is filed with the Court upon approval or order by the 6 1 Court as part of any pleading or as evidence, the filing party shall follow the proper 2 procedures and local rules to file the material under seal. 3 15. Witnesses deposed in this action or who are called as witnesses at any 4 hearing in this action may be shown Designated Material by an attorney but only (1) in 5 preparation for the deposition or hearing, or (2) during the deposition or hearing, and only 6 under the following circumstances: a. 7 any witness may be shown Designated Material in which the witness 8 is identified as a originator, signatory, author, addressee, or recipient of the original 9 or a copy; b. TUCKER ELLIS LLP Cleveland ♦ Columbus ♦ Denver ♦ Los Angeles ♦ San Francisco 10 11 a current officer, director, or employee of a designating Person may be shown that party’s designated Material; c. 12 any witness selected by a designating Person to provide testimony 13 pursuant to Rule 30(b)(6) of the Federal Rules of Civil Procedure may be shown 14 that party’s Designated Material; d. 15 a former officer, director, or employee of a designating Person may be 16 shown that party’s Designated Material if it appears from the face of the 17 Designated Material that the witness previously had access to the Designated 18 Material while employed by the designating Person, provided that counsel making 19 such disclosure shall inform the witness that the matter is confidential and may not 20 be disclosed or used except as provided in this Order. e. 21 any witness who fits the definitions set out in Paragraphs 6(a) and 6(c) 22 and 7 if an Exhibit 1 Undertaking has been signed. 23 16. A designating Person that inadvertently fails to mark Designated Material as 24 “CONFIDENTIAL” and/or “CONFIDENTIAL – ATTORNEYS’ EYES ONLY” at the 25 time of the production shall promptly notify the receiving party of its failure and correct 26 it. Such correction and notice thereof shall be made in writing, accompanied by 27 substitute copies of each Discovery Material appropriately marked as 28 “CONFIDENTIAL” and/or “CONFIDENTIAL – ATTORNEYS’ EYES ONLY.” 7 1 Within five (5) days of receipt of the substitute copies, the receiving party shall return or 2 destroy the previously unmarked materials and all copies thereof, and make reasonable 3 efforts to retrieve documents distributed to persons not entitled to receive documents. 4 17. Counsel attending a deposition who inadvertently fails to designate any 5 portions of the transcript as “CONFIDENTIAL” and/or “CONFIDENTIAL – 6 ATTORNEYS’ EYES ONLY” on the record at the deposition shall have fifteen (15) 7 days following the mailing of the transcript by the court reporter in which to correct his 8 or her failure. Such correction and notice thereof shall be made in writing to the reporter, 9 with copies to all other counsel, designating the portion(s) of the transcript that contain TUCKER ELLIS LLP Cleveland ♦ Columbus ♦ Denver ♦ Los Angeles ♦ San Francisco 10 confidential information and directing the reporter to mark that portion of the transcript 11 accordingly. 12 18. If Designated Material is disclosed to any person other than in the manner 13 authorized herein, the party responsible for the disclosure must immediately bring all 14 pertinent facts relating to such disclosure to the attention of all interested parties, and 15 without prejudice to other rights and remedies of the designating party, and shall make 16 every effort to prevent further disclosure by it or by the person who was the recipient of 17 such information. 18 19. If at any time during the pendency or trial of this action, counsel for any 19 party claims that Designated Material is not appropriately so designated, objecting 20 counsel may serve a captioned notice of objection on all parties and affected entities, 21 identifying with particularity the Designated Material as to which the designation is 22 challenged for such materials. If the designating Person does not redesignate the 23 materials within five (5) business days after service, the objecting entity may file and 24 serve a motion seeking an order that such materials be redesignated, in which case the 25 designating Person shall have the burden of proving that the original designation was 26 appropriate. The original designation shall remain effective until three (3) business days 27 after the entry of an order redesignating the materials. The court may award sanctions on 28 any motion concerning the designation if it finds that any party’s position with respect to 8 1 the designation was taken without substantial justification. The failure of any party to 2 challenge any designation by any other party shall not constitute a waiver of the right to 3 challenge the designation at a later time nor an admission of the correctness of the 4 designation. 5 20. Unless the parties stipulate otherwise, evidence of the existence or 6 nonexistence of a designation under this Order shall not be admissible for any purpose, 7 nor shall the designation or acceptance of any information designated pursuant to this 8 Order constitute an admission or acknowledgment that that material so designated is in 9 fact proprietary, confidential, or a trade secret. Notwithstanding any other provision of this Order to the contrary, the 11 confidentiality obligations of this Order shall not apply or shall cease to apply to any 12 information that: 13 14 15 a. at the time of disclosure hereunder, was already in the public domain by publication or otherwise; b. since the time of disclosure hereunder, has become, through no act or 16 failure on the part of the receiving party, part of the public domain by publication 17 or otherwise; 18 c. at the time of disclosure, was already in the possession of the 19 receiving party and was not acquired directly or indirectly from the designating 20 Person or from any third party under obligation of confidence to the designating 21 Person; 22 d. after disclosure hereunder, was acquired by the receiving party from a 23 third party lawfully possessing the same and having no obligation to the 24 designating Person hereunder; or, 25 26 e. the designating Person agrees may be disclosed to a third party under no obligation of confidentiality. 27 28 9 1 The party claiming that he or she is relieved of the obligations of this Order by 2 operation of any of Paragraphs 21(a)-(e) shall have the burden of proving that any of the 3 provisions of Paragraphs 21(a)-(e) apply. 4 22. Upon the termination of this proceeding, this Order shall continue to be 5 binding upon the parties hereto, and upon all persons to whom Designated Material has 6 been disclosed or communicated, and this Court shall retain jurisdiction to enforce this 7 Order. 8 23. Subject to final order of the Court upon completion of all matters relating to 9 this case, within sixty (60) days after entry of any final and unappealable judgment in TUCKER ELLIS LLP Cleveland ♦ Columbus ♦ Denver ♦ Los Angeles ♦ San Francisco 10 this litigation, any and all Discovery Material and all copies thereof, save those filed with 11 the Court, shall be returned to the producing Person or, at the option of the producing 12 Person, destroyed, provided however, counsel for each party shall be permitted to retain 13 and archive Discovery Material that is contained in filed ordinarily maintained in the 14 course of litigation. If Discovery Material is destroyed pursuant to this paragraph, the 15 party destroying such Discovery Material shall certify in writing to the producing Person 16 that such destruction has taken place. 17 24. Nothing in this Order shall limit or restrict the matter in which any party 18 shall handle its own Discovery Material. 19 25. Any Protective Order entered by the Court on this Order is being entered 20 without prejudice to the right of any party to move to the Court for modification of or 21 relief from any of its terms. 22 26. When any third party produces documents or testimony pursuant to a request 23 from a party in this matter: 24 a. such third parties may designate their testimony or documents as 25 “CONFIDENTIAL” or “CONFIDENTIAL – ATTORNEYS’ EYES ONLY” 26 pursuant to this Order and any subsequent Protective Order issued by the Court: 27 28 b. any party receiving such documents or testimony from a third party may designate any such documents or testimony as “CONFIDENTIAL” or 10 1 “CONFIDENTIAL – ATTORNEYS’ EYES ONLY” pursuant to this Protective 2 Order issued by the Court providing that the designating party has a direct interest 3 in placing such documents or testimony under the confidentiality provisions of this 4 Protective Order and any subsequent Protective Order issued by the Court as 5 defined in paragraphs 3 and 4; c. 6 Paragraph 6 shall apply to any designation as “CONFIDENTIAL” by 7 any designating Person of any documents or testimony received from third parties, 8 and Paragraph 7 shall apply to any designation as “CONFIDENTIAL – 9 ATTORNEYS’ EYES ONLY” by any designating Person of any documents or TUCKER ELLIS LLP Cleveland ♦ Columbus ♦ Denver ♦ Los Angeles ♦ San Francisco 10 testimony received from third parties. 11 12 13 DATED: October 13, 2015 14 _______________________________ Hon.
