GRAINGER, INC. (hereinafter “DEFENDANT”), by and through 3 its counsel of record, hereby stipulate and agree as follows: 4 5 RECITALS AND JOINT STIPULATION WHEREAS, PLAINTIFF desires to file a First Amended Complaint and has provided 6 DEFENDANT with a copy of the proposed First Amended Complaint; 7 WHEREAS, counsels for PLAINTIFF and DEFENDANT have conferred in good faith; 8 NOW THEREFORE, IT IS HEREBY STIPULATED AS FOLLOWS: 9 1.
