NASE, individually and d/b/a BAKERSFIELD 17 INVESTMENT CLUB, 18 Case No. 1:16-cv-00344-LJO-JLT ORDER AUTHORIZING RECEIVER'S SALE OF REAL PROPERTY LOCATED AT 5612 VIA VENEZIA, BAKERSFIELD, CA 93306 Defendants, 19 BIC SOLO 401K TRUST and MARGARITA NASE, 20 Relief Defendants. 21 22 ORDER 23 In accordance with its September 19, 2016 Order Granting Stipulation to Waive 24 Requirements of 28 U.S.C. § 2001(a) and (b) in Connection with, and to Establish Sales 25 Procedures for, Receiver's Sales of Residential Real Property (the "Stipulation") and the sales 26 procedures approved therein (the "Sales Procedures"), this Court has reviewed the January 29, 27 2018, Declaration of David P. Stapleton, the Court-appointed receiver (the "Receiver") regarding 28 ORDER APPROVING AND AUTHORIZING RECEIVER'S SALE OF REAL PROPERTY -1- 1 his proposed sale of the real property located at and commonly known as 5612 Via Venezia, 2 Bakersfield, CA 93306, assessor's parcel number 387-341-22-00-0 (the "Property"). The legal 3 description for the Property is as follows: 4 All that certain real property in the County of Kern, State of California, described as follows: 5 6 7 8 9 Being an adjustment of Lot 31 of Tract No. 551 filed in Map Book 45, Page 104 and Parcel 1 Map 9784 filed in Book 50 of Parcel Maps, Page 150 in the Office of the County Recorder, as adjusted by Lot Line Adjustment No. P-01-0162 per Certificate of Compliance recorded as Document No. 0201137281 of Official Records, being a portion of the Northeast Quarter of Section 14, Township 29 South, Range 29 East, Mount Diablo Base and Meridian in the City of Bakersfield, County of Kern, State of California, more particularly described as follows: 10 11 12 Commencing at the centerline radius point of Via Venezia Cul-De-Sac, as said radius point is marked by a 6" concreted monument stamped LS 5332 as shown on said Tract 5515; thence North 86° 10' 26" West, 40.00 feet to the South line of said Lot 31 and the true point of beginning; 13 14 15 Thence 1) Continuing North 86° 10' 26" West, 88.59 feet to the Southwest corner of said Lot 31; 16 Thence 2) North 01° 16' 54", West along the West line of said Lot 31 a distance of 135.29 feet; 17 Thence 3) North 18° 22' 05", East 70.38 feet; 18 Thence 4) North 73° 36' 50", East, 71.17 feet; 19 20 Thence 5) South 33° 04' 12", East 21.46 feet; Thence 6) South 22° 48' 30", East 105.68 feet; 21 22 23 24 25 26 27 28 Thence 7) South 25° 35' 48", West 8.67 feet to the East line of said Lot 31; Thence 8) South 28° 13” 59’, East line 85.41 feet; Thence 9) South 56° 23' 26" West, 18.21 feet to the beginning of a 40.00 foot radius curve concave Southerly from which the radius point bears South 56° 23' 26" West; Thence 10) Northwesterly along said curve through a central angle of 142° 33' 52" an arc distance of 99.53 feet to the true point of beginning. APN: 387-341-22-00-0 ORDER APPROVING AND AUTHORIZING RECEIVER'S SALE OF REAL PROPERTY -2- 1 Having confirmed the Receiver's compliance with the Sales Procedures, and the 15-day 2 notice period provided for in the Stipulation having lapsed without objection to the Receiver's 3 proposed sale of the Property, this Court orders as follows: 4 1. The terms of the purchase and sale agreement, and all attendant documents 5 (collectively, the "PSA"), by and between the Receiver and Jeffrey Nalesnik ("Buyer") in 6 connection with the Receiver's proposed sale of the Property to Buyer are approved; 7 2. The Court ratifies the Receiver's execution of the PSA and authorizes the Receiver 8 to perform all of his obligations under the PSA; 9 3. The Receiver is authorized to sell the Property to Buyer or Buyer's designee, as 10 contemplated in the PSA, in exchange for the aggregate sum of $600,000 subject to the applicable 11 terms of this Order; 12 4. The Receiver is further authorized to pay any commissions provided for in the PSA 13 in connection with the consummation of the sale of the Property; 14 5. In accordance with the terms of the PSA, and without limiting those terms, Buyer 15 or Buyer's designee shall purchase the Property on an "as-is / where-is" basis, without any 16 representations or warranties whatsoever by the Receiver and his agents and/or attorneys 17 including, without limitation, any representations or warranties as to the condition of the Property, 18 except as expressly set forth in the PSA. Buyer or its designee is responsible for all due diligence, 19 including but not limited to inspection of the condition of and title to the Property, and is not 20 relying on any representation or warranty of the Receiver, except as expressly set forth in the PSA; 21 6. In the performance of his obligations pursuant to this Order, the Receiver's liability 22 in connection with the PSA and the sale of the Property to the Buyer shall be limited to the assets 23 of the receivership estate (the "Estate"). Neither the Receiver nor his professionals shall have any 24 personal liability for claims arising out of or relating to the performance of any actions necessary 25 to complete the sale of the Property as provided for herein; 26 7. Provided Buyer or Buyer's designee consents, in writing, the Receiver is hereby 27 authorized to amend or otherwise modify the PSA, in writing, as necessary to complete the sale of 28 the Property in the event that the Receiver determines, in his reasonable business judgment, that ORDER APPROVING AND AUTHORIZING RECEIVER'S SALE OF REAL PROPERTY -3- 1 such amendment or modification is reasonable and necessary, will benefit the Estate, avoid the 2 imposition of any liability upon the Estate, or is required pursuant to the terms of the PSA or any 3 other amendment or modification thereto, provided that any such amendment or modification does 4 not change the material terms of the contract, including the parties to the PSA and the purchase 5 price for the Property; 8. 6 The Receiver is hereby authorized to take all actions and execute all documents 7 necessary to consummate and otherwise effectuate the sale of the 8 Property to Buyer or Buyer's designee, including, but not limited to, the PSA itself, any other 9 documents required to be executed pursuant to the PSA, and any related documentation, escrow 10 instructions, or conveyance documents consistent with selling and conveying title to the Property 11 to Buyer or Buyer's designee. The Receiver shall execute all documents necessary to consummate 12 and otherwise effectuate the sale of the Property as "David P. Stapleton, Court-appointed receiver" 13 or any reasonable variation thereof which clearly identifies the Receiver as a court-appointed 14 receiver; 9. 15 The Receiver is hereby authorized to execute and acknowledge a receiver's deed, or 16 similar instrument, conveying title to the Property to Buyer or Buyer's designee (the "Receiver's 17 Deed") to effectuate the conveyance, and cause the Receiver's Deed to be recorded on the date on 18 which close of escrow occurs pursuant to the terms of the PSA, or as determined by and between 19 the Receiver and Buyer or Buyer's designee; 10. 20 Any licensed title insurer may rely on this Order as authorizing the Receiver to 21 transfer title to the Property as provided in the PSA and as authorized herein; 11. 22 This Court shall retain jurisdiction over any dispute involving the Receiver in 23 connection with the sale of the Property; and 24 /// 25 /// 26 /// 27 28 ORDER APPROVING AND AUTHORIZING RECEIVER'S SALE OF REAL PROPERTY -4- 1 12. The Receiver shall provide Buyer or Buyer's designee with a certified copy of this 2 Order, as entered by the Court, directly or through escrow, at least five (5) days before Close of 3 Escrow, or as provided for in the PSA, and Buyer or Buyer's designee shall acknowledge receipt 4 of a copy of this Order, in writing. A certified copy of this Sale Order may be recorded 5 concurrently with the Receiver's Deed or at any time before the close of escrow, provided, 6 however, that failure to record this Order shall not affect the enforceability of this Order, the 7 enforceability and viability of the PSA, or the validity of the Receiver's Deed. 8 9 IT IS SO ORDERED. 10 Dated: /s/ Lawrence J.
