The Court hereby ORDERS as follows: 14 1. This Order pertains to real property owned by David J. Edwards through his 15 nominees, Central Cinema, LP and LAP Trust, which is located at 330-364 South Clovis 16 Avenue, Fresno, California (“the Fresno Property”) and 451 Burl Avenue, Clovis, California 17 (“the Clovis Property”) (collectively the “Subject Property”) and is more particularly described 18 as follows: 19 The Clovis Property 20 Lot 19 of Tract No. 4306, TAMARACK 11, according to the map thereof recorded in Book 53, pages 83 and 84 of Plats, Fresno County Records. EXCEPTING THEREFROM all oil, gas and other hydrocarbons therein and thereunder, as reserved by Larry D. Darnell and Katherine L. Darnell, husband and wife, in deed recorded September 8, 1975, Book 6479 of Official Records, page 812, records of said County, as Instrument No. 67094 21 22 23 24 25 Order 5 1 1 The Fresno Property 2 PARCEL A: That portion of the following described property lying South of Fancher Creek: All that portion of Lot 33 of Easterby Rancho, according to the map thereof recorded in Book 2 page 6 of Plats, in the office of the County Recorder of said County, described as follows: Commencing at the intersection of the centerline of Fancher Creek with the East line of Lot 33; thence South 161.5 feet, along the East line of said lot; thence West 150.00 feet; thence North 173.00 feet to a point in the centerline of Fancher Cie& to the point of commencement. 3 4 5 6 PARCEL B: That portion of the following described property lying South of Fancher Creek: All that portion of Lot 33 of Easterby Rancho, according to the map thereof recorded in Book 2 page 6 of Plats, in the office of the County Recorder of said County, described as follows: Commencing at a point on the Easterly line of Lot 33, which bears South 161.5 feet from the intersection of the centerline of Fancher Creek and the East line of Lot 33; thence West 150.00 feet to the true point of beginning of this parcel; thence North 173.00 feet to a point in the centerline of Fancher Creek; thence along the centerline of Fancher Creek, North 86° 37' West 45.92 feet and South 67° 15' West 456.44 feet, more or less, to a point which bears West 436.22 feet from the true point of beginning; thence leaving the centerline of Fancher Creek, East 436.22 feet to the point of beginning. 7 8 9 10 11 12 PARCEL C: That portion of the following described property lying South of Fancher Creek: All that portion of Lot 33 and Lot 34 of Easterby Rancho, according to the map thereof recorded in Book 2 page 6 of Plats, in the office of the County Recorder of said County, described as follows: Commencing at a point on the East line of Lot 33, which bears South 161.5 feet from the intersection of the centerline of Fancher Creek with the East line of Lot 33; thence South 185.35 feet to the Southeast corner of Lot 33; thence Westerly along the South line of Lots 33 and 34, a distance of 690.00 feet, more or less, to the centerline of Fancher Creek 295.00 feet, more or less, to a point which bears West 586.22 feet from the point of commencement; thence East 586.22 feet to the point of commencement, 13 14 15 16 17 18 EXCEPTING THEREFROM that portion thereof lying within 12 feet of the headgate in said Creek near the Southwest corner of said Parcel, as reserved in the deed from George H. Malter and wife, to C. Deinler, recorded April 27, 1921 in Book 97 page 102 of Official Records. 19 20 2. The United States has valid and subsisting tax liens on all property and rights to 21 property of David J. Edwards, including the Subject Property, arising from the federal income 22 tax assessments described in Paragraph 10 of the United States’ Complaint for the tax years 23 2001, 2004, 2005 and 2007-2009, which liens were effective as of the dates of those assessments 24 25 Order 5 2 1 and are the subject of the Order granting entry of judgment in this case. (Doc. 29). The United 2 States further protected its liens by filing Notices of Federal Tax Liens with the Fresno County, 3 California Recorder’s Office, as set forth in the United States’ Complaint. (Doc. 1, Complaint.) 4 3. 26 U.S.C. §7403 entitles the United States to enforce its liens against the Subject 5 Property in order to apply the proceeds towards the tax liabilities of David J. Edwards. 6 4. The United States’ federal tax liens against the Subject Property are hereby 7 foreclosed. The United States Marshal, his/her representative, or an Internal Revenue Service 8 Property Appraisal and Liquidation Specialist (“PALS”) representative is authorized and directed 9 under 28 U.S.C. §§2001 and 2002 to offer for public sale and to sell the Subject Property free 10 and clear of the right, title, and interest of all parties to this action and any successors in interest 11 or transferees of those parties. The United States may choose either the United States Marshal or 12 a PALS representative to carry out the sale under this Order of Foreclosure and Judicial Sale and 13 shall make the arrangements for any sale as set forth in this Order. This Order of Foreclosure and 14 Judicial Sale shall act as a special writ of execution and no further orders or process from the 15 Court shall be required. 16 5. The United States Marshal, his/her representative, or a PALS representative is 17 authorized to have free access to the Subject Property and to take all actions necessary to 18 preserve the Subject Property, including, without limitation, retaining a locksmith or other 19 person to change or install locks or other security devices on any part thereof, until a deed thereto 20 is delivered to the ultimate purchaser(s). 21 6. The terms and conditions of the sale are as follows: 22 23 a. Except as otherwise stated herein, the sale of the Subject Property shall be by public auction to the highest bidder, free and clear of all liens and interests. 24 25 Order 5 3 1 b. The sale shall be subject to all laws, ordinances, and governmental 2 regulations (including building and zoning ordinances), affecting the premises, and easements 3 and restrictions of record, if any. 4 c. The sale shall be held at the United States District Court for the Eastern 5 District of California, on the Subject Property’s premises, or at any other place in accordance 6 with the provisions of 28 U.S.C. §§2001 and 2002, at a date and time announced by the United 7 States Marshal, his/her representative, or a PALS representative. 8 d. Notice of the sale shall be published once a week for at least four 9 consecutive weeks before the date fixed for the sale in at least one newspaper regularly issued 10 and of general circulation in Fresno County, California, and, at the discretion of the Marshal, 11 his/her representative, or a PALS representative, by any other notice that it or its representative 12 may deem appropriate. State or local law notice requirements for foreclosures or execution sales 13 do not apply to these sales under federal law, and state or local law regarding redemption rights 14 do not apply to these sales. The notice of sale shall describe the Subject Property, separately, and 15 shall contain the material terms and conditions of sale in this Order of Foreclosure and Sale. 16 e. The minimum bid will be set by the Internal Revenue Service. If the 17 minimum bid is not met or exceeded, the Marshal, his/her representative, or a PALS 18 representative may, without further permission of this Court, and under the terms and conditions 19 in this Order of Foreclosure and Judicial Sale, hold a new public sale, if necessary, and reduce 20 the minimum bid or sell to the highest bidder. 21 f. Bidders shall be required to deposit, at the time of sale with the Marshal, 22 his/her representative, or a PALS representative, a minimum of 10 percent of the bid, with the 23 deposit to be made by a certified or cashier’s check payable to the United States District Court 24 25 Order 5 4 1 for the Eastern District of California. Before being permitted to bid at the sale, bidders shall 2 display to the Marshal, his/her representative, or a PALS representative satisfactory proof of 3 compliance with this requirement. 4 g. The balance of the purchase price of the Subject Property in excess of the 5 deposit tendered shall be paid to the Marshal or a PALS representative (whichever person is 6 conducting the sale) within 30 days after the date the bid is accepted, by a certified or cashier’s 7 check payable to the United States District Court for the Eastern District of California. If the 8 successful bidder or bidders fails to fulfill this requirement, the deposit shall be forfeited and 9 shall be applied to cover the expenses of the sale, including commissions due under 28 U.S.C. 10 §1921(c), with any amount remaining to be applied first to the federal tax liabilities of David J. 11 Edwards. The Subject Property shall be again offered for sale under the terms and conditions of 12 this Order of Foreclosure and Judicial Sale or, in the alternative, sold to the second-highest 13 bidder. The United States may bid as a credit without tender of cash. 14 h. The sale of the Subject Property shall not be final until confirmed by this 15 Court. The Marshal or a PALS representative shall file a report of sale with the Court within 30 16 days from the date of receipt of the balance of the purchase price. 17 i. Upon confirmation of the sale, the Marshal or PALS representative shall 18 promptly execute and deliver a deed of judicial sale conveying the Subject Property to the 19 purchaser or purchasers. 20 j. Upon confirmation of the sale, the interests of, liens against, or claims to 21 the Subject Property held or asserted by the United States in the Complaint and any other parties 22 to this action or any successors in interest or transferees of those parties shall be discharged and 23 24 25 Order 5 5 1 extinguished. The sale is ordered pursuant to 28 U.S.C. §2001. Redemption rights under state or 2 local law shall not apply to this sale under federal law. 3 k. Upon confirmation of the sale, the purchaser or purchasers shall have the 4 Recorder of Deeds cause the transfer of the Subject Property to be reflected in the county 5 property records. 6 7. Until the Subject Property is sold, David J. Edwards shall take all reasonable steps 7 necessary to preserve the Subject Property (including all buildings, improvements, fixtures, and 8 appurtenances thereon) including, without limitation, maintaining fire and casualty insurance 9 policies on the Subject Property. He shall keep current in paying real property taxes as they are 10 assessed. He shall not commit waste against the Subject Property, nor shall he cause or permit 11 anyone else to do so. He shall not do anything that tends to reduce the value or marketability of 12 the Subject Property, nor shall he cause or permit anyone else to do so. He shall not record any 13 instruments, publish any notice, or take any other action that may directly or indirectly tend to 14 adversely affect the value of the Subject Property or that may tend to deter or discourage 15 potential bidders from participating in the public sale, nor shall he cause or permit anyone else to 16 do so. Violation of this paragraph shall be deemed a contempt of Court and punishable as such. 17 8. All persons occupying the Subject Property shall leave and vacate permanently such 18 properties no later than 15 days after the entry of this Order, each taking with them his or her 19 personal property (but leaving all improvements, buildings, fixtures, and appurtenances) when 20 leaving and vacating. If any person fails or refuses to leave the Subject Property by the time 21 specified in this Order, the United States Marshal’s Office is authorized to take whatever action 22 it deems appropriate to remove such person or persons from the premises, whether or not the sale 23 of such property or properties is being conducted by a PALS representative. If any person fails or 24 25 Order 5 6 1 refuses to remove his or her personal property from the Subject Property by the time specified 2 herein, the personal property remaining at the Subject Property thereafter is deemed forfeited and 3 abandoned, and the United States Marshal’s Office or the PALS representative is authorized and 4 directed to remove and dispose of it in any manner they see fit, including sale, in which case the 5 proceeds of sale are to be applied first to the expenses of sale, and then to the tax liabilities at 6 issue. 7 9. Notwithstanding the terms of the immediately preceding paragraph, if, after the sale 8 of the Subject Property is confirmed by this Court, the Subject Property remains occupied, a writ 9 of assistance may, without further notice, be issued by the Clerk of Court pursuant to Rule 70 of 10 the Federal Rules of Civil Procedure to compel delivery of possession of the Subject Property to 11 the purchaser or purchasers thereof. 12 10. If David J. Edwards, or any other person occupying the Subject Property, vacates the 13 Subject Property prior to the deadline set forth in Paragraph 8, above, such person shall notify 14 counsel for the United States no later than two business days prior to vacating the property of the 15 date on which he or she is vacating the property. Notification shall be made by leaving a message 16 for counsel for the United States, Aaron M. Bailey, at (202) 616-3164. 17 11. The Marshal, his or her representative, or a PALS representative, shall deposit the 18 amount paid by the purchaser or purchasers into the registry of the Court. Upon appropriate 19 motion for disbursement or stipulation of the parties, the Court will disburse the funds in the 20 following order of preference until these expenses and liens are satisfied: first, to the IRS for 21 allowed costs and expenses of sale, including any commissions due under 28 U.S.C. §1921(c) 22 and including an amount sufficient to cover the costs of any steps taken to secure or maintain the 23 real property at issue pending sale and confirmation by the Court; second, to Fresno County to 24 25 Order 5 7 1 satisfy any existing Fresno County secured real property tax liens.
