This Protective Order and any amendments or modifications hereto shall apply to 21 all information, documents, and things subject to discovery in this action that are conveyed by 22 any party, including third parties (hereinafter termed “conveying party”) to another party 23 (hereinafter termed “receiving party”) in this action, including, without limitation, all portions of 24 transcripts of deposition testimony, exhibits, answers to interrogatories or requests for 25 admission, documents, or things, including any excerpt, index, description, copy, summary or 26 abstract thereof (hereafter “DISCOVERY MATERIALS”). 27 /// 28 29 22741526 1 JOINT STIPULATED PROTECTIVE ORDER 1 2. “CONFIDENTIAL MATERIALS” are any DISCOVERY MATERIALS that contain 2 trade secrets or other non-public, proprietary or business sensitive information or things 3 including, without limitation, confidential research, development, financial, corporate, or other 4 commercial information of the conveying party. CONFIDENTIAL MATERIALS also include a 5 portion of any document or court pleading that quotes from or summarizes any of the foregoing. 6 3. Discovery in this action may involve disclosure by a third party of its 7 “CONFIDENTIAL” documents information or things. It is expressly contemplated and agreed 8 that third party witnesses may invoke all provisions of this Protective Order. 9 4. Subject to the terms set forth below, all information produced by the conveying 10 party shall be used by the parties receiving the information solely for the purposes of preparing 11 for and conducting this action (including appeals), and the information shall not be used for any 12 other purpose. 13 5. This Protective Order shall not restrict a party’s use of its own materials that it 14 produces in discovery. 15 DESIGNATION AND USE OF CONFIDENTIAL MATERIALS 16 6. Each party or third person conveying DISCOVERY MATERIALS shall mark 17 documents and things produced by it and answers to interrogatories and responses to other 18 discovery demands deemed to be CONFIDENTIAL MATERIALS with an appropriate description 19 such as: 20 21 Matthew McCaleb v. Case No. 1:20-cv-00937-AWI-JLT CONFIDENTIAL – SUBJECT TO PROTECTIVE ORDER 22 7. 23 CONFIDENTIAL MATERIALS shall only be made available to: (a) 24 For the Plaintiff: (1) Partners and associates with Zimmer & Melton, LLP and 25 stenographic, clerical and paralegal employees of those attorneys whose functions require 26 access to CONFIDENTIAL MATERIALS. 27 /// 28 29 22741526 2 JOINT STIPULATED PROTECTIVE ORDER 1 (2) The Plaintiff or officers and employees of the receiving party, who 2 require, in good faith, access to CONFIDENTIAL MATERIALS to prepare for this action. 3 (b) 4 For the Defendants: (1) Partners and associates of the law firm of Bowman and Brooke 5 LLP, and stenographic, clerical and paralegal employees of those attorneys whose functions 6 require access to CONFIDENTIAL MATERIALS. 7 (2) The Defendants or officers and employees of the conveying party 8 whose functions require access to CONFIDENTIAL MATERIALS. 9 Substitution or change of the individuals identified in this paragraph or an increase in the 10 number of those individuals may only be made by agreement among the parties to this 11 Protective Order, subject to the approval of the Court, or by further Order of the Court. 12 8. If questions put to a witness in a pretrial deposition will disclose information 13 constituting CONFIDENTIAL MATERIALS, or the answer to any question requires such 14 disclosure, or if documents to be used as exhibits during the deposition constitute such 15 materials, counsel may so notify opposing counsel, and the portion of the deposition of such 16 witness containing such material shall be taken in the presence only of persons entitled to 17 access to CONFIDENTIAL MATERIALS under this Protective Order, the witness, the reporter, 18 and representatives of the conveying party. Deposition transcripts and exhibits may be 19 designated as “CONFIDENTIAL” information either during the course of the deposition or within 20 seven (7) business days after receipt by counsel of the deposition transcript. Any portions of the 21 deposition transcripts containing information constituting CONFIDENTIAL MATERIALS and any 22 documents used as exhibits during the deposition constituting such materials shall be bound 23 separately. Such deposition transcripts and documents, to the extent that they are or contain 24 CONFIDENTIAL MATERIALS, shall be available only to the persons entitled to access to 25 CONFIDENTIAL MATERIALS under this Protective Order, to the reporter, to the witness, and to 26 representatives of the conveying party. 27 /// 28 29 22741526 3 JOINT STIPULATED PROTECTIVE ORDER 1 9. The parties recognize that in order to assist in the preparation of their case, the 2 receiving party may desire to utilize the service of experts or consultants, whose advice and 3 consultation are being or will be used by such party in connection with this litigation. Counsel 4 desiring to disclose CONFIDENTIAL MATERIALS to such experts or consultants shall first 5 obtain a signed undertaking of each such expert or consultant who may require access to 6 CONFIDENTIAL MATERIALS, in the form of Exhibit “A” attached hereto (the “Expert 7 Confidentiality Pledge”). CONFIDENTIAL MATERIALS may be shown to an expert or 8 consultant after such expert or consultant signs the Expert Confidentiality Pledge. Any and all 9 Expert Confidentiality Pledges signed by a consultant shall be maintained by counsel, but need 10 not be produced to opposing counsel absent an Order of Court. Any and all Expert 11 Confidentiality Pledges signed by an expert shall be maintained by counsel, and produced to 12 counsel for the conveying party pursuant to the paragraph below. This provision is designed to 13 permit counsel to utilize the services of experts and consultants without first revealing the 14 identity of those experts or consultants to opposing counsel. 15 10. All Expert Confidentiality Pledges shall be maintained by the receiving party’s 16 counsel. When the receiving party identifies experts pursuant to Order of the Court or by 17 supplementation pursuant Rule 26 of the Federal Rules of Civil Procedure, a copy of the Expert 18 Confidentiality Pledge with respect to each expert who is identified will be produced to counsel 19 for the conveying party within ten days. 20 11. CONFIDENTIAL MATERIALS shall not be made public by counsel or persons 21 entitled access to CONFIDENTIAL MATERIALS under this Protective Order, unless they 22 become a part of the public record of this action, other than through conduct in breach of this 23 Protective Order, and shall not be disclosed to anyone other than this Court and the persons 24 entitled access to CONFIDENTIAL MATERIALS under this Protective Order. To the extent it is 25 necessary to file CONFIDENTIAL MATERIALS with the Court in connection with proceedings in 26 this action, such CONFIDENTIAL MATERIALS shall be filed with the Clerk of the Court, 27 together with a simultaneous sealing motion as may be required by the Court Rules, in sealed 28 29 22741526 4 JOINT STIPULATED PROTECTIVE ORDER 1 envelopes prominently marked with the caption of this case, an indication of the general nature 2 of the contents, and an appropriate designation such as: 3 CONFIDENTIAL INFORMATION This envelope is sealed pursuant to the ___________, 2020 Joint Stipulated Protective Order in this action. It contains information designated as CONFIDENTIAL and is not to be opened or the contents revealed except by Order of the Court. 4 5 6 12. CONFIDENTIAL MATERIALS may be used in motion papers, at any motion 7 hearing, in testimony at trial, and may be offered in evidence at trial or at any motion hearing, all 8 subject to this Protective Order hereof and to any further order regarding confidentiality as this 9 Court may enter, and may be used to prepare for discovery, to conduct discovery, to prepare for 10 trial, and to support or oppose any motion, all subject to the provisions of this Protective Order. 11 CONFIDENTIAL MATERIALS may also be used at depositions and may be disclosed to a 12 witness at a deposition or at trial who is an author or copy recipient of a document containing 13 CONFIDENTIAL MATERIALS but is not a person entitled access to CONFIDENTIAL 14 MATERIALS under this Protective Order. 15 CHALLENGES TO PROTECTIVE ORDER 16 13. The acceptance by a party of CONFIDENTIAL MATERIALS shall not constitute 17 an admission or concession or permit an inference that such are, in fact, confidential. This 18 Protective Order shall not foreclose either of the parties from presenting an issue to opposing 19 counsel, by way of a meet and confer, regarding the identification of a document as confidential 20 or, if unresolved, then moving this Court for an order that materials bearing the identifications 21 are, in fact, not confidential. On such motion, the party asserting confidentiality shall have the 22 burden of proving that the material in question is within the scope of protection afforded by Rule 23 26(c) of the Federal Rules of Civil Procedure. 24 14. This Protective Order shall not prevent either of the parties or any third party from 25 applying to the Court for relief therefrom, or from applying to the Court for further or additional 26 protective orders, or from agreeing between themselves in writing, to modification of this 27 Protective Order, subject to the approval of this Court. This Protective Order shall not preclude 28 29 22741526 5 JOINT STIPULATED PROTECTIVE ORDER 1 the parties from enforcing their rights against any other party or any third party believed to be 2 violating their rights. 3 15. In the event that the parties desire to provide access to or disseminate 4 CONFIDENTIAL MATERIALS to any person not otherwise entitled to access under this 5 Protective Order, they may move the Court for an Order that such person be given access 6 thereto. In the event that the motion is granted, such person may have access to 7 CONFIDENTIAL MATERIALS after first signing an undertaking in the form of Exhibit “A” 8 attached hereto, a copy of which shall be forwarded promptly thereafter to opposing counsel. 9 16. Nothing in this Protective Order shall require disclosure of material which the 10 conveying party contends is protected from disclosure by the attorney-client privilege or the 11 work-product doctrine or of material the disclosure of which might constitute a breach of an 12 agreement with a third party. This Protective Order shall not preclude any party from moving 13 the Court for an order directing the disclosure of such materials. 14 17. Restrictions and obligations set forth herein relating to CONFIDENTIAL 15 MATERIALS and to DISCOVERY MATERIALS shall not apply to any information which (i) the 16 conveying party agrees, or the Court rules, is already public knowledge, (ii) the conveying party 17 agrees, or the Court rules, has become public knowledge other than as a result of disclosure by 18 the receiving party, (iii) was already known to the receiving party under conditions such that its 19 use and/or public disclosure by the receiving party would not violate some obligation to another, 20 which knowledge is established by pre-production documentation, or (iv) has come or shall 21 come into the receiving party’s legitimate possession independently of the conveying party 22 under conditions such that its use and/or public disclosure by the receiving party would not 23 violate some obligation to another. 24 25 INADVERTENT DISCLOSURE 18. If the conveying party inadvertently produces its “CONFIDENTIAL” documents, 26 information or things without the identification as specified in this Protective Order or if any party 27 inadvertently produces “CONFIDENTIAL” documents, information or things to a person not 28 29 22741526 6 JOINT STIPULATED PROTECTIVE ORDER 1 authorized by this Protective Order to receive such material, the party making the inadvertent 2 disclosure shall promptly send notification of such inadvertent disclosure to the person to whom 3 the disclosure was made and make reasonable efforts to obtain return of the “CONFIDENTIAL” 4 documents, information or things. Upon such notice, the receiving party shall, within five 5 business days, return any original documents and destroy all copies of the inadvertently 6 produced material to the conveying party and provide a certification of counsel that all such 7 inadvertently produced material has been returned and/or destroyed. 8 DISCLOSED PROTECTED INFORMATION 9 19. If the conveying party discloses information subject to a claim of attorney-client 10 privilege or attorney work product protection (“disclosed protected information”), the disclosure 11 of the disclosed protected information shall not constitute or be deemed a waiver or forfeiture of 12 any claim of privilege or work product protection that the conveying party would otherwise be 13 entitled to assert with respect to the disclosed protected information and its subject matter. 14 20. The conveying party may assert in writing attorney-client privilege or work 15 product protection with respect to disclosed protected information. The receiving party shall, 16 within five business days of receipt of that writing, return any original documents and destroy all 17 copies of the disclosed protected information and provide a certification of counsel that all such 18 disclosed protected information has been returned and/or destroyed. 19 21. Within five (5) business days of the notification that such disclosed protected 20 information has been returned and/or destroyed, the conveying party shall produce a privilege 21 log with respect to the disclosed protected information. 22 22. The receiving party may move the Court for an Order compelling production of 23 the disclosed protected information (a “privilege motion”). The privilege motion shall be filed 24 under seal and shall not assert as a ground for entering such an Order the fact or circumstances 25 of the inadvertent production. 26 /// 27 /// 28 29 22741526 7 JOINT STIPULATED PROTECTIVE ORDER 1 23. The conveying party retains the burden of establishing privileged or protected 2 nature of any disclosed protected information. Nothing in this paragraph shall limit the right of 3 any party to petition the Court for an in camera review of the disclosed protected information. 4 24. If, a trial, at a hearing, at a deposition, or on a motion, a conveying party marks 5 for identification or offers into evidence disclosed protected information – or proffers or elicits 6 testimonial or other evidence that incorporates or relies on disclosed protected information, 7 including evidence within Federal Rule of Evidence 703 - that act shall be deemed to effect a 8 waiver and forfeiture by the conveying party of attorney-client privilege and work product 9 protection that would otherwise apply to undisclosed information concerning the same subject 10 matter, within Federal Rule of Evidence 502(a). The preceding sentence shall not apply to (i) 11 proceedings to determine whether the disclosed protected information is privileged or protected 12 or subject to discovery or disclosure, or (ii) disclosed protected information that is marked for 13 identification, offered into evidence, or incorporated in evidence proffered or elicited by an 14 adverse party, or relied on by a witness proffered by an adverse party. 15 SUBPOENAS 16 25. If any person or party having possession, custody or control of any document, 17 information or thing designated as “CONFIDENTIAL” pursuant to this Protective Order receives 18 a subpoena or other process or order to produce the document, information or thing, the 19 subpoenaed person or party shall, within five business days: 20 (i) 21 give notification in writing of such fact to the counsel of the conveying party; 22 (ii) 23 furnish such counsel with a copy of such subpoenas, process or order; 24 (iii) provide reasonable cooperation to the conveying party with respect to any 25 procedure instituted by the conveying party to protect the confidentiality of 26 the document, information or thing, including seeking all reasonable 27 /// 28 29 22741526 8 JOINT STIPULATED PROTECTIVE ORDER 1 (iv) 2 extensions to afford the conveying party an opportunity to obtain appropriate judicial relief; and 3 (v) 4 provide the conveying party reasonable time to seek appropriate judicial relief before complying with the subpoena. 5 26. If the conveying party makes a motion to quash or modify the subpoena, process 6 or order, the subpoenaed party shall not disclose, pursuant to the subpoena, process or order, 7 any document, information or thing designated as “CONFIDENTIAL” by the conveying party 8 except as required by an order or other process of the court having jurisdiction over the matter, 9 and then only in accordance with such order or process. 10 DESIGNATING PROTECTED MATERIAL 11 27. Exercise of Restraint and Care in Designating Material for Protection. Each party 12 or non-party that designates information or items for protection under this Order must take care 13 to limit any such designation to specific material that qualifies under the appropriate standards. 14 The conveying party must designate for protection only those parts of material, documents, 15 items, or oral or written communications that qualify – so that other portions of the material, 16 documents, items, or communications for which protection is not warranted are not swept 17 unjustifiably within the ambit of this Order. 18 Mass, indiscriminate, or routinized designations are prohibited. Designations that are 19 shown to be clearly unjustified or that have been made for an improper purpose (e.g., to 20 unnecessarily encumber or retard the case development process or to impose unnecessary 21 expenses and burdens on other parties) expose the conveying party to sanctions. If it comes to a conveying party’s attention that information or items that it designated for 22 23 protection do not qualify for protection, that conveying party must promptly notify all other 24 parties that it is withdrawing the mistaken designation. 25 /// 26 /// 27 /// 28 29 22741526 9 JOINT STIPULATED PROTECTIVE ORDER 1 DISPOSITION OF DOCUMENTS AT TERMINATION OF LITIGATION 2 28. After final termination of this action, each receiving party shall either return 3 all CONFIDENTIAL MATERIALS of the conveying party in its possession, custody or control 4 (including confidential materials in the possession of any experts or consultants), and copies 5 thereof to counsel for the conveying party, or shall otherwise dispose of such CONFIDENTIAL 6 MATERIALS in a manner agreeable to both parties, except that trial counsel for the receiving 7 party may retain court papers, trial transcripts, exhibits and attorney work-product derived from 8 the CONFIDENTIAL MATERIALS. With respect to any such retained materials, and unless 9 otherwise agreed to, this Protective Order shall survive the final termination of this action, 10 except to the extent that the information in such CONFIDENTIAL MATERIALS is or becomes 11 known to the public through no fault of the receiving party. 12 29. Sealed records that have been filed with the Clerk of the Court shall be removed 13 by the party submitting them (1) within ninety (90) days after a final decision is rendered if no 14 appeal is taken, or (2) if an appeal is taken, within thirty (30) days after final disposition of the 15 appeal. Parties failing to comply with this Order shall be notified by the Clerk that, should they 16 fail to remove the sealed records in accordance with this Order, the Clerk may dispose of them 17 within thirty (30) days of the notice. 18 VIOLATION OF ORDER 19 30. Any violation of this Stipulated Protective Order during the pendency of this 20 action or thereafter may be punishable as a contempt of court and may be grounds for a Motion 21 for Sanctions to be filed in the Court. 22 APPROVAL BY COURT 23 31. The parties to this Joint Stipulated Protective Order agree that they will promptly 24 file a joint motion for entry of this Joint Stipulated Protective Order. The parties further agree 25 that they will tender the Joint Stipulated Protective Order to the Court to be so ordered and that, 26 /// 27 /// 28 29 22741526 10 JOINT STIPULATED PROTECTIVE ORDER 1 prior to approval by the Court, this Joint Stipulated Protective Order shall be effective and 2 binding on the parties hereto as if approved by the Court. 3 4 By: Neil M.
