The parties agree that Plaintiff is entitled to an award of attorney’s fees and expenses to

be paid by the Defendant, pursuant to the Equal Access to Justice Act (EAJA), 28 U.S.C.

§ 2412(d), subject to any offset as described in Astrue v. Ratliff, 130 S.Ct. 2521 (2010).

The parties agree that an award of attorney’s fees in the amount of $6,000.00, and

19

expenses and costs in the amount of $425.54, for a total of $6,425.54, shall be awarded to

20

Plaintiff as a settlement amount.

If it is determined that Plaintiff’s EAJA fees and expenses are not subject to any offset

22

allowed under the Department of the Treasury’s Offset Program, then the check for EAJA fees

23

shall be made payable to Kelsey Mackenzie Brown, based upon Plaintiff’s assignment of these
