Having reviewed the foregoing Stipulation, and good cause appearing
therefore:
The Court authorizes the filing of the Third Amended Complaint, a copy of

which is attached hereto as Exhibit A and that will become Plaintiffs’ operative

complaint in this action upon its filing.
