WHEREAS, the complaint in this action was filed on January 13, 2009; WHEREAS, this Court appointed Lead Plaintiff in this matter on February 9, 2009; WHEREAS, Lead Plaintiff has not yet filed an amended complaint; WHEREAS, Defendant Taleo Corporation filed a restatement of its financial results with the Securities and Exchange Commission on April 30, 2009; WHEREAS, Lead Plaintiff's amended complaint is currently due June 1, 2009; WHEREAS, the undersigned parties wish to avoid burdening the Court with unnecessary motion practice; WHEREAS, a case management conference is currently scheduled for September 11,

WHEREAS, based upon the above, the parties agree that the briefing schedule and case management conference should be extended; IT IS HEREBY STIPULATED AND AGREED, by and between the undersigned, subject to approval of the Court, as follows: 1. 2. 4. Lead Plaintiff will file an amended complaint on or before June 15, 2009; Defendants will respond to the amended complaint on or before July 31, 2009; If Defendants' response is a motion to dismiss, Lead Plaintiff's opposition will be

due on or before September 15, 2009, and Defendant's reply will be due on or before October 15, 2009. 5. The case management conference is extended to October 30, 2009. A case management statement shall be due on October 23, 2009. If, however, Defendants file a motion to dismiss, the case management conference shall be vacated, and the motion shall be heard on Friday, November 13, 2009 at 9:00 a.m. The case management conference shall be reset after resolution of the motion to dismiss.
