All claims against all parties to the above-captioned action are hereby dismissed 4 with prejudice. Specifically, Plaintiffs hereby dismiss with prejudice their lawsuit against the 5 LECG Parties and the Great Hill Parties in the United States District Court for the Northern 6 District of California in this case known as, Chang v. LECG Corporation Deferred 7 Compensation Plan for Employees, Case No. 11-cv-2619-JSW, alleging violations of the 8 Employee Retirement Income Security Act, 29 U.S.C. § 1001, et seq (“ERISA”) with respect 9 to the Plaintiffs’ participation in the LECG Corporation Deferred Compensation Plan for 10 Employees and the LECG Corporation Deferred Compensation Plan For Independent Contractors 11 (the “Plans”), breaches of contract and fiduciary duties, and other claims. 12 2. Each party shall bear its own attorneys’ fees and costs. 13 3. This matter is concluded in its entirety and shall be dismissed. 14 4. Execution and filing of this Stipulation of Dismissal with Prejudice and 15 [Proposed] Order by counsel for all parties constitutes a dismissal of this lawsuit, with 16 prejudice, effective upon entry by the Court, pursuant to Federal Rule of Civil Procedure 17 41(a)(1)(A)(ii).
