WHEREAS, Plaintiff filed this lawsuit on March 29, 2012.

WHEREAS, Plaintiff and Defendant have entered into a Settlement Agreement

and Release which settles ail aspects of the lawsuit against Defendant without

admission of liability of wrongdoing, liability or fault.

WHEREAS, Plaintiff moves to dismiss the with prejudice the lawsuit against
Defendant pursuant to FRCP 41(a)(1) and (2). Each side shall pay its own attorneys'
C:~ fees and costs except as expressly set forth in the Settlement Agreement and Release.

WHEREAS Defendant, who has answered fhe complaint, agrees to the dismissal
with prejudice. The case is not a class action, and no receiver has been appointed.
