without prejudice AXIS and First Specialty from the present action;

IT IS HEREBY STIPULATED by and between St. Paul and Defendants

who have appeared in this action, by and through their designated counsel, that

defendants AXIS and First Specialty are hereby dismissed without prejudice pursuant

to FRCP 41(a)(1). AXIS and First Specialty further agree to waive any claim for

costs they might have associated with the present action.
