IT IS HEREBY STIPULATED and AGREED (the “Stipulation”) by and between the
19 parties hereto, that Judgment shall be entered in the within action in favor of the Plaintiffs
20 NORTHERN CALIFORNIA GLAZIERS TRUST FUNDS, et al. (collectively “Plaintiffs” or
21 “Trust Funds”) and against Defendant GLASS CONCEPTS BY CLINE, INC., a California
22 corporation, and/or alter egos and/or successor entities (collectively “Defendant”), as follows:
23
1.
Defendant entered into a valid Collective Bargaining Agreement with the Northern
24 California Glaziers Master Agreement between District Council 16 and Northern California Glass
25 Management Association (hereinafter "Bargaining Agreement"). This Bargaining Agreement has
26 continued in full force and effect to the present time.

JEFFREY PAUL CLINE acknowledges that he is the President of GLASS
12 CONCEPTS BY CLINE, INC. and specifically consents to the Court’s jurisdiction for all
13 proceedings herein. Mr. Cline (hereinafter “Guarantor”) also confirms that in consideration of the
14 within payment plan he is personally guaranteeing the amounts due pursuant to the terms of this
15 Stipulation and further acknowledges that all affiliates, related entities and successors in interest to
16 GLASS CONCEPTS BY CLINE, INC. and/or any subsequent entity wherein Mr. Cline is a
17 principal shall also be bound by the terms of this Stipulation as Guarantors, and also consent to
18 this Court’s jurisdiction. Defendant and any additional entities in which JEFFREY PAUL CLINE
19 is an officer, owner or possesses any ownership interest, including all successors in interest,
20 assignees, and affiliated entities (including, but not limited to parent or other controlling
21 companies), and any companies with which GLASS CONCEPTS BY CLINE, INC. joins or
22 merges, if any, shall also be bound by the terms of this Stipulation. Defendant and all such entities
23 specifically consent to the Court’s jurisdiction, which shall be specified in writing at the time of
24 any assignment, affiliation or purchase of Defendant, along with the obligations to the terms
25 herein.

Upon receipt from Barry Swenson Builder, Defendant shall immediately pay the
2 sum of $11,000.00 to Plaintiffs, which will be applied to reduce the balance due to $42,233.19.
3

Defendant shall then conditionally pay the amount of $33,835.97, representing the
4 balance of the above amounts, less liquidated damages in the amount of $8,397.22.
This
5 conditional waiver is expressly conditioned upon Trustee approval following timely compliance
6 with all of the terms of this Stipulation, as follows:
(a)

Beginning on April 15, 2013, and on or before the 15th day of each month
8 thereafter for a period of twenty four (24) months through and including March 15, 2015,
9 Defendant shall pay to Plaintiffs the amount of $1,484.00 per month;
(b)
10
Payments may be made by joint check, to be endorsed to Plaintiffs prior to
11 submission. Any and all joint checks received for amounts owed under the Stipulation will be
12 applied to reduce the balance due.
Defendant shall have the right to increase the monthly
13 payments at any time and there is no penalty for prepayment;
(c)
14
Payments shall be applied first to unpaid interest and then to unpaid
15 principal. The unpaid principal balance shall bear interest from April 10, 2013, at the rate of 5%
16 per annum in accordance with the Collective Bargaining Agreements and Plaintiffs’ Trust
17 Agreements;
18
(d)
Checks shall be made payable to the Northern California Glaziers Trust
19 Fund, and delivered on or before each due date to Shivani Nanda, Esq. at Saltzman & Johnson
20 Law Corporation, 44 Montgomery Street, Suite 2110, San Francisco, California 94104, or to such
21 other address as may be specified by Plaintiffs;
22
(e)
Prior to the last conditional payment pursuant to this Stipulation, Plaintiffs
23 shall advise Defendant, in writing, as to the conditional balance due, including interest and all
24 additional attorneys’ fees and costs incurred by Plaintiffs in connection with collection and
25 allocation of the amounts owed to Plaintiffs under this Stipulation, and for all status letters and
26 releases requested by or on behalf of Defendant. Defendant shall pay all additional attorneys’ fees
27 and costs regardless of whether or not Defendant defaults herein. Any additional amounts due
28

1 pursuant to the provisions hereunder shall also be paid in full with the March, 2015 stipulated
2 payment;
(f)

At the time that Defendant makes its 23rd conditional payment, Defendant
4 may submit a written request for waiver of liquidated damages directed to the Board of Trustees,
5 but sent to Saltzman and Johnson Law Corporation with its 23rd payment. Defendant will be
6 advised as to whether or not the waiver has been granted prior to the final payment hereunder.
7 Such waiver will not be considered until and unless all other amounts are paid in full and
8 Defendant’s account is otherwise current; and
(g)
9
Failure to comply with any of the above terms shall constitute a default of
10 the obligations under this Stipulation and the provisions of ¶11 shall apply.
11

In the event that any check is not timely submitted or fails to clear the bank, or is
12 unable to be negotiated for any reason for which Defendant is responsible, Defendant shall be
13 considered to be in default of the Judgment entered. If this occurs, Plaintiffs shall make a written
14 demand to Defendant to cure said default within seven (7) days of the date of the notice from
15 Plaintiffs. If caused by a failed check, default will only be cured by the issuance of a replacement
16 cashier’s check, delivered to Saltzman and Johnson Law Corporation within the seven (7) day
17 cure period. If Defendant elects to cure said default, and Plaintiffs elect to accept future payments,
18 all such future payments shall be made by cashier’s check at Plaintiffs’ request. In the event
19 default is not cured, all amounts remaining due hereunder shall be due and payable on demand by
20 Plaintiffs.

Beginning with contributions due for hours worked by Defendant’s employees
22 during the month of March 2013, due on April 15, 2013 and delinquent if not received by the
23 Trust Funds before the last business day of the month, and for every month thereafter until this
24 Judgment is satisfied, Defendant shall remain current in contributions due to Plaintiffs under
25 the current Collective Bargaining Agreements and under all subsequent Collective Bargaining
26 Agreements, if any, and the Declarations of Trust as amended. Defendant shall fax a copy of its
27 contribution report for each month, together with a copy of that payment check, to Shivani Nanda
28 at 415-882-9287, at the same time as sending the payment to the Trust Fund office.

Failure to comply with these terms shall also constitute a default of the obligations

2 under this Agreement and the provisions of ¶11 shall apply.

8.
Defendant shall make full disclosure of all jobs on which it is working by providing
4 Plaintiffs with an ongoing and updated list of jobs, provided as Exhibit A and attached hereto,
5 including but not limited to the name and address of the job, the start and completion dates, the
6 identity of General Contractor/Owner/Developer, and by providing certified payroll if it is a public
7 works job. To the extent that Defendant is working on a Public Works job, or any other job for
8 which Certified Payroll Reports are required, copies of said reports will be faxed to Shivani Nanda
9 concurrently with its submission to the General Contractor, Owner or other reporting agency.
These requirements are concurrent with, and in addition to, the requirements set
10
11 forth above. Defendant shall fax said updated list each month together with the contribution report
12 on before the last business day of each month (as required by ¶7 of this Stipulation) to Shivani
13 Nanda at 415-882-9287.

Failure to comply with any of the above terms shall constitute a default of the
15 obligations under this Stipulation and the provisions of ¶11 shall apply. Any unpaid or late-paid
16 contributions, together with 20% liquidated damages and 5% per annum interest accrued on the
17 contributions, pursuant to the Trust Agreements, shall be added to and become a part of this
18 Judgment and subject to the terms herein.
Plaintiffs reserve all rights available under the
19 applicable Bargaining Agreement and Declarations of Trust of the Trust Funds for collection of
20 current and future contributions, and for any additional past contributions not included herein as
21 may be determined by Plaintiffs, pursuant to employee timecards or paystubs, by audit, or other
22 means, and the provisions of this agreement are in addition thereto. Defendant specifically waives
23 the defense of the doctrine res judicata as to any such additional amounts determined as due.
24
10.
Audit: Should the Trust Funds request an audit of Defendant’s payroll records in
25 order to confirm proper reporting and payment of contributions pursuant to the Bargaining
26 Agreement, any failure by Defendant to comply with said request shall constitute a default of the
27 obligations under this Agreement.

(a)
In the event that Defendant has an audit in progress, but not yet complete

1 (and thus not included herein), and amounts are found due, Plaintiffs shall send a written demand
2 to Defendant by first class mail for payment in full of the amounts found due in the audit,
3 including contributions, liquidated damages, interest and audit fees;
(b)
4
Defendant will be provided ten (10) days in which to review the audit, and
5 provide evidence to contest the findings in the event that Defendant does not agree with the total
6 found due. Once the ten (10) day review period expires, in the event that the audit is not contested,
7 payment in full shall be delivered to Shivani Nanda;
(c)
8
If the audit is contested, and Defendant provides documentation in support
9 of the dispute, Defendant shall be notified as to whether revisions will be made to the audit. If
10 revisions are not made, payment will be immediately due;
(d)
11
If revisions are made to said audit as a result of the dispute, payment in full
12 of the revised amount shall be due within ten (10) days of the revised billing;
(e)
13
If Defendant is unable to make payment in full, Defendant may submit a
14 written request to revise this Judgment, modifying the payment plan (by monthly amount and/or
15 payment term), to add the amounts found due in the audit to this Judgment, subject to the terms
16 herein. If the Judgment is so revised, Defendant shall execute the Amended Judgment or
17 Amendment to Judgment within ten (10) days of Plaintiffs’ preparation of said Amended
18 Judgment or Amendment to Judgment. Failure to execute the revised agreement shall constitute a
19 default of the terms herein; and
(f)
20
Failure by Defendant to submit either payment in full or a request to add the
21 amounts due to this Judgment within ten (10) days of the date of Plaintiffs’ demand shall
22 constitute a default of the obligations under this agreement. All amounts found due on audit shall
23 immediately become part of this Judgment.

In the event that Defendant or Guarantor fails to make any payment required under
25 ¶6 above, or otherwise defaults on the obligations as detailed in this Stipulation, and such default
26 is not timely cured, the following will occur:
27
(a)
The entire balance of $53,233.19, as specified in ¶4, plus interest, but
28 reduced by principal payments received from Defendant or Guarantor, in addition to any unpaid

1 contributions then due plus 20% liquidated damages and 5% per annum interest on the unpaid or
2 late-paid contributions, shall be immediately due and payable, together with any attorneys’ fees
3 and costs incurred during the term of this Stipulation;
(b)

A Writ of Execution may be obtained against Defendant and Guarantor
5 without further notice to Defendant or Guarantor, in the amount of the unpaid balance plus any
6 additional amounts due under the terms herein. Such Writ of Execution may be obtained solely
7 upon declaration by a duly authorized representative of Plaintiffs setting forth any payment
8 theretofore made by or on behalf of Defendant or Guarantor and the balance due and owing as of
9 the date of default;
(c)
10
Defendant and Guarantor waive any notice of Entry of Judgment or of any
11 Request for a Writ of Execution upon default, and expressly waive all rights to stay of execution
12 and appeal.
(d)
13
Defendant / Guarantor shall pay all additional attorneys’ fees and costs
14 incurred by Plaintiffs in connection with collection, allocation or verification of the amounts owed
15 by Defendant / Guarantor to Plaintiffs under this Stipulation, whether or not a default occurs
16 herein, including but not limited to fees incurred for issuance of status letters, releases or other
17 documents requested by or for Defendant.

Any failure on the part of Plaintiffs to take any action against Defendant or
19 Guarantor as provided herein in the event of any breach of the provisions of this Stipulation shall
20 not be deemed a waiver of any subsequent breach by Defendant / Guarantor of any provisions
21 herein.

In the event of the filing of a bankruptcy petition by Defendant or Guarantor, the
23 parties agree that any payments made pursuant to the terms of this Judgment, shall be deemed to
24 have been made in the ordinary course of business as provided under 11 U.S.C. Section 547(c)(2)
25 and shall not be claimed by Defendant/Guarantor as a preference under 11 U.S.C. Section 547 or
26 otherwise.
Defendant / Guarantor nevertheless represents that no bankruptcy filings are
27 anticipated.

Should any provision of this Stipulation be declared or determined by any court of

1 competent jurisdiction to be illegal, invalid, or unenforceable, the legality, validity, and
2 enforceability of the remaining parts, terms or provisions shall not be affected thereby and said
3 illegal, unenforceable or invalid part, term, or provision shall be deemed not to be part of this
4 Stipulation.

This Stipulation is limited to the agreement between the parties with respect to the
6 delinquent contributions and related sums enumerated herein, owed by Defendant / Guarantor to
7 Plaintiffs. This Stipulation does not in any manner relate to withdrawal liability claims, if any.
8 Defendant and Guarantor acknowledge that Plaintiffs expressly reserve their right to pursue
9 withdrawal liability claims, if any, against Defendant / Guarantor and all of its control group
10 members, as provided by Plaintiffs’ Plan Documents, Trust Agreements incorporated into their
11 Collective Bargaining Agreements, and applicable laws and regulations.

This Stipulation contains all of the terms agreed by the parties and no other
13 agreements have been made. Any changes to this Stipulation shall be effective only if made in
14 writing and signed by all parties hereto.

This Stipulation may be executed in any number of counterparts and by email or
16 facsimile, each of which shall be deemed an original and all of which shall constitute the same
17 instrument.

Defendant and Guarantor represent and warrant that they have had the opportunity
19 to be or have been represented by counsel of their own choosing in connection with entering this
20 Stipulation under the terms and conditions set forth herein, that they have read this Stipulation
21 with care and are fully aware of and represent that they enter into this Stipulation voluntarily.

The parties agree that the Court shall retain jurisdiction of this matter until this
23 Judgment is satisfied.
