Pursuant to Civil Local Rule 7-12, Plaintiffs hereby submit this Stipulation and

[Proposed] Order to Transfer this Action to the Southern District of New York Pursuant to 28

U.S.C. §1404(a).

WHEREAS, on June 17, 2013, the above-captioned action was filed with this Court (ECF
5
No. 1);
6
WHEREAS, on December 5, 2013, this Court appointed Lead Plaintiff and Lead Counsel
7
in this Action (ECF No. 43);
8
WHEREAS, on February 3, 2014, Plaintiffs filed a Consolidated Amended Complaint
9
(ECF No. 48);
10
WHEREAS, between April 4, 2014 and July 10, 2014, the Parties to this action fully
11
briefed Defendants’ Motion to Dismiss (see ECF Nos. 53-55, 58, and 65);
12
WHEREAS, on October 15, 2014, this Court entered an Order to Show Cause as to why
13
this case should not be transferred to the United States District Court for the Southern District of
14
New York (ECF No. 68);
15
WHEREAS, in its Order to Show Cause, the Court directed that “[a]lternatively, the
16
parties may file a stipulation requesting that this case be transferred to the Southern District of
17
New York under § 1404(a)”; and
18
WHEREAS, the parties have conferred and agree that this case should be transferred to
19
the Southern District of New York;
20
THEREFORE, IT IS HEREBY STIPULATED AND AGREED by all parties through
21
their respective counsel of record, that:

Pursuant to 28 U.S.C. §1404(a), this action shall be transferred to the United
23
States District Court for the Southern District of New York.
