R. Civ. P. 8, 9(b), and 12(b)(6) or, in the alternative, for a more definite statement under Fed. R. Civ. P. 12(e). Power's opening brief asserted that Counts I through III fail to state a claim because they all sound in fraud and fail to comply with Rule 9(b)'s requirement that fraud be pleaded with particularity. After reviewing Facebook's opposition to the motion, Power withdraws this argument with respect to Counts I through III. Those counts are meritless, and the allegations underlying them are false. Power will address them on the merits at the appropriate time. I. THE COMPLAINT FAILS TO STATE A CLAIM FOR COPYRIGHT INFRINGEMENT Plaintiffs opening brief argued that Count IV of the complaint fails to state a claim for copyright infringement: "[T]he Complaint does not identify either the copyrighted work or the allegedly infringing work. It refers generically to `Facebook's website,' but does not identify any portion of the website, any graphics or text, or any computer program that is alleged to have been copied `and/or' the source for a derivative work. Id. [Complaint ¶ 125.] The complaint also refers generically to `copies and/or derivative works created by Defendants,' id. ¶ 127, but it does not identify the `copies and/or derivative works' in any intelligible way. At a minimum, an allegation of infringement must identify the allegedly protected and infringing works. This Complaint does neither. It is utterly impossible to respond to an allegation so devoid of content. Count IV thus fails to meet even Rule 8's standard of notice pleading." Opening Br. at 2:24-3:5. Facebook contends that the complaint is sufficiently specific because it "specifically alleges that Defendants `accessed and copied the Facebook website,' including, but not limited to, creating cached copies of the website." Opp. Br. at 9:13-15. The crux of this issue is whether generically referencing the Facebook "website" as the copyrighted work is sufficiently specific to put Power on notice of the alleged copyright claim. It is not. The Facebook website is massive. It includes many different elements ­ some of which are subject to copyrights owned by Facebook and some of which clearly are not. The bulk of the Facebook site is comprised of "User Content." This "User Content" includes "photos, profiles, REPLY MEMORANDUM OF POINTS AND AUTHORITIES IN SUPPORT OF MOTION TO SIDMISS, OR IN THE ALTERNATIVE, FOR A MORE DEFINITE STATEMENT 1 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 messages, notes, text, information, music, video, advertisements, listings, and other content that [users] upload, publish or display" on the Facebook site. See Facebook Terms of Use (rev. Sept. 23, 2008), available at http://www.facebook.com/terms.php, attached hereto as Exhibit 1 (section headed "User Content Posted on the Site"). Facebook owns no copyright to such User Content. Indeed, Facebook's own Terms of Use expressly state that "Facebook does not assert any ownership over your User Content." Id. The Facebook site also contains "articles, photographs, text, graphics, pictures, designs, music, sound, video, information applications, software and other content or items belonging to or originating from third parties." Id. (section headed "Third Party Websites and Content"). Facebook does not own the copyrights to these third party materials. Broadly asserting that Power "accessed and copied the Facebook website," without identifying the copyrighted or infringing work does not put Power on notice of the nature of the infringement claim. The Facebook website is massive ­ obviously Facebook does not contend that the entire site was copied. And, since most of the site is comprised of User Content and third party materials that are not subject to Facebook copyrights, it is essential that a claim of infringement identify exactly what was copied. Power's services primarily consist of utilities that allow users to copy their own User Content for purposes of updating it and making it portable to other sites ­ without copying other elements of the Facebook website. If the claim for infringement is based on the copying of User Content, that would be a very different claim than one for copying the site as a whole, or for copying other elements of the site that may be subject to Facebook's copyrights. But the Complaint gives no indication as to what was copied beyond a vague reference to "the Facebook website." This is insufficient to allege that any element of the site subject to a Facebook copyright was in fact copied. For these reasons, the complaint also fails to meet the requirements of 17 U.S.C. § 512, which requires a notification of copyright infringement to include "[i]dentification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site." 17 U.S.C. § 512(c)(3)(A)(ii). It also requires "[i]dentification of the material that is claimed to be infringing or the subject of infringing activity." Id. § 512(c)(3)(A)(iii). See Facebook DMCA Notice of Copyright Infringement, available at http://www.facebook.com/copyright.php?copyright_notice=1, attached hereto as Exhibit 2 ("Identify the copyrighted work that you claim has been infringed. ... Identify the content on our site that you claim infringes your copyright. ... Where does the infringing content appear on our site? In almost all instances the best way to help us locate the content you are reporting is to provide us with the URL."). Consistent with federal law, and with Facebook's own practices, it should, at a minimum, be required to identify the alleged copyrighted and infringing works. In addition, Facebook should be required to identify the URL where any such materials appear. Without this information it is difficult, if not impossible, for Power to respond to the allegation. II. THE COMPLAINT FAILS TO STATE A CLAIM FOR A VIOLATION OF THE DMCA Count V of the complaint, for violation of the DMCA, fails for the same reasons as Count IV, because the first element of a DMCA claim is "ownership of a valid copyright on a work." See Opp. Mem. at 10:1-2. As explained above, Facebook does not own a copyright to all of the elements of its website, as Facebook concedes that it has no ownership interest in User Content and third party materials that comprise the bulk of the site. Count V also suffers from a second defect. Facebook contends that the claim is based on "unauthorized use of other users' account names and passwords," which Facebook characterizes as the "method[] [Power] employed to circumvent Facebook's efforts to prevent [Power] from accessing Facebook's copyrighted material." Opp. Mem. at 11:3-6. But Facebook does not allege even a single instance in which Power used other users' account names or passwords without authorization. Power provides a utility that allows users to access Facebook through Power.com by entering their own usernames and passwords. In every instance, it is the user himself or herself that enters the account name and password. And in every instance, the user is authorizing Power.com to make use of the account name and password to allow the user to access Facebook through Power.com. Indeed, it is a device that Facebook itself employs on its own site to allow its users to access other websites through Facebook. For example, below is a screen capture from http://www.facebook.com/gettingstarted.php? On this page, Facebook solicits users to enter their account names and passwords for users' email accounts at Google's Gmail, AOL, Yahoo, Hotmail, or other third party websites. Facebook then uses the account information to allow the user to access those accounts through Facebook, and to import information from those third-party sites into Facebook. Power does the same thing to allow users to access Facebook through Power.com. Against this background, Facebook's allegation of "unauthorized use of other users' account names and passwords" is difficult to understand. If Facebook alleges that Power permits users to enter their account information to access the Facebook site through Power.com, just as Facebook does with respect to other sites, such use is not "unauthorized." It is clearly authorized by the user who enters the account information. For these two reasons at least ­ the failure to specify the copyrighted work, and the failure to identify the method of circumvention of protections for the copyrighted work ­ the complaint fails to state a claim for violation of the DMCA. At a minimum, to state a DMCA claim, Facebook should be required to identify the copyrighted work, the technological measure protecting that work, and the alleged means by which it was circumvented. If the means of circumvention is the allegedly "unauthorized" use of account information, the complaint should specify the nature of the alleged use and in what sense it was unauthorized. III. DEFENDANTS SHOULD BE REQUIRED TO PROVIDE A MORE DEFINITE STATEMENT WITH RESPECT TO THE TRADEMARK CLAIMS Counts VI and VII allege trademark infringement under federal and California law. The complaint, however, does not identify any instance of the use of the Facebook mark on the Power website. The only specific instance of the use of the Facebook mark is in the email discussed at ¶¶ 68-70 of the complaint. If Facebook alleges instances of use of the Facebook mark other than in connection with that email, Facebook should be required to identify each instance of such use or at least to provide exemplars of the uses of the mark, including the URL where any infringing use of the mark is alleged to have been made. With respect to Count VIII, for violation of Cal. Bus. & Prof. Code § 17,200, Facebook's opposition brief states that the claim is premised on the alleged violation of the Lanham Act. Opp. Mem. at 13:18-19. But the complaint itself does not make this clear. If Facebook is alleging a violation of the unlawful prong of § 17,200 premised on a violation of the Lanham Act, that should be clarified through an amended pleading or a more definite statement. As it stands now, the allegations in Count VIII provide no indication as to which of the five prongs of § 17,200 is at issue, or what the nature of the violation is alleged to be. Power should not be required to respond to such a broad allegation if, in reality, the only allegation is violation of the unlawful prong premised on an alleged Lanham Act violation. CONCLUSION For the foregoing reasons, the Complaint should be dismissed for failure to state a claim. In the alternative, plaintiff should be ordered to provide a more definite statement under Fed. User Content Posted on the Site You are solely responsible for the photos, profiles (including your name, image, and likeness), messages, notes, text, information, music, video, advertisements, listings, and other content that you upload, publish or display (hereinafter, "post") on or through the Service or the Site, or transmit to or share with other users (collectively the "User Content"). You may not post, transmit, or share User Content on the Site or Service that you did not create or that you do not have permission to post. Facebook Mobile Services The Service includes certain services that are available via your mobile phone, including (i) the ability to upload content to Facebook via your mobile phone (Mobile Uploads), (ii) the ability to receive and reply to Facebook messages, to poke and receive pokes and to write wall posts using text messaging (Mobile Texts), (iii) the ability to browse Facebook from your mobile phone (Mobile Web), and (iv) the ability to access certain Facebook features through a mobile application you have downloaded and installed on your mobile phone (Mobile Client) (collectively the "Mobile Services"). We do not charge for these Mobile Services. However, your carrier's normal messaging, data and other rates and fees will still apply. You should check with your carrier to find out what plans are available and how much they cost. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. Therefore, you should check with your carrier to find out if the Mobile Services are available for your mobile devices, and what restrictions, if any, may be applicable to your use of such Mobile Services. By using the Mobile Services, you agree that we may communicate with you regarding Facebook and other entities by SMS, MMS, text message or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us. In the event you change or deactivate your mobile telephone number, you agree to promptly update your Facebook account information to ensure that your messages are not sent to the person that acquires your old number. Copyright Complaints We respect the intellectual property rights of others and we prohibit users from uploading, posting or otherwise transmitting on the Facebook website or service any materials that violate another party's intellectual property rights. When we receive proper Notification of Alleged Copyright Infringement as described in our Facebook Copyright Policy, we promptly remove or disable access to the allegedly infringing material and terminate the accounts of repeate infringers as described herein in accordance with the Digital Millenium Copyright Act.
