Plaintiff Incorp Services, Inc. and Defendants Incsmart.biz, Inc., David Oliver, and

Michael Lasala (individually, a “Party” and collectively, the “Parties”), by and through their

counsel of record, hereby stipulate and agree as follows:

WHEREAS, Plaintiff filed its Motion for Issuance of an Order to Show Cause Why

7

Defendants Should Not Be Held in Contempt for Failure to Submit Sanctions Payment

(“Motion for OSC”) on September 6, 2012 [D.E. #55];

WHEREAS, the Parties appeared before the Court on November 9, 2012, for a
hearing on Plaintiff’s Motion for OSC;

WHEREAS, at the November 9 hearing, the Court continued the hearing on the
Motion for OSC to December 7, 2012;

WHEREAS, the Parties have agreed to allow Plaintiff to withdraw its Motion for
OSC without prejudice.

NOW, THEREFORE, it is herby stipulated and agreed, by and among the Parties,
through their respective counsel, as follows:

Plaintiff Incorp Services, Inc.’s Motion for Issuance of an Order to Show
