Using the MERS® Mark, MERSCORP trade name, or MORTGAGE 12 ELECTRONIC REGISTRATION SYSTEMS, INC. trade name, or any confusingly similar versions 13 thereof, in commerce in the United States; 14 2. Maintaining an active corporation with the name MERS, INC or 15 MORTGAGE ELECTRONIC REGISTRATION SYSTEM, INC. (MERS) or any confusingly 16 similar name; and 17 3. Assisting, aiding, or abetting any other person or entity in engaging in or 18 performing any of the activities referred to in subparagraphs (i) and (ii) above; 19 20 B. Why the Court should not further inform the California Secretary of State, via issuance of 21 the Order, that the state incorporation records for MERS, INC, entity no. C3851651, and 22 MORTGAGE ELECTRONIC REGISTRATION SYSTEM, INC. (MERS), entity no. C3851652, 23 have been found to infringe upon the trademarks and trade names of the Plaintiffs and are causing 24 actual confusion and continuing irreparable harm to the Plaintiffs by their existence, which harm 25 may be remedied by cancellation of those corporate registrations and by posting the correct address 26 for Plaintiffs, as follows: 1818 Library Street, Suite 300, Reston, Virginia 201910 to the public 27 records for Defendants, including but not limited to its online registry of business entities; and 28 1 C. Why the Court should not further order the California Secretary of State to: 2 1. Cancel the incorporation for MERS, INC, entity no. C3851651, and 3 MORTGAGE ELECTRONIC REGISTRATION SYSTEM, INC. (MERS), entity no. C3851652; 4 and 5 2. Post an order and notice of the correct address for Plaintiffs, as follows: 1818 6 Library Street, Suite 300, Reston, Virginia 20190 to its public records for Defendants, including but 7 not limited to its online registry of business entities. 8 REED SMITH LLP TEMPORARY RESTRAINING ORDER 10 A limited liability partnership formed in the State of Delaware 9 PENDING HEARING on the above Order to Show Cause, you, your officers, agents, 11 servants, employees and attorneys and all those in active concert or participation with you or them 12 ARE HEREBY RESTRAINED AND ENJOINED from: 13 1. Using the MERS® Mark, MERSCORP trade name, or MORTGAGE ELECTRONIC 14 REGISTRATION SYSTEMS, INC. trade name, or any confusingly similar versions thereof, in 15 commerce in the United States; 16 2. Maintaining an active corporation with the name MERS, INC or MORTGAGE 17 ELECTRONIC REGISTRATION SYSTEM, INC. (MERS) or any confusingly similar name; and 18 3. Assisting, aiding, or abetting any other person or entity in engaging in or performing 19 any of the activities referred to in subparagraphs (i) and (ii) above; 20 21 PENDING HEARING on the above Order to Show Cause, the California Secretary of State 22 is hereby notified and informed that this Court finds that Plaintiffs have demonstrated the likelihood 23 that: 24 1. The incorporation for MERS, INC, entity no. C3851651, and MORTGAGE 25 ELECTRONIC REGISTRATION SYSTEM, INC. (MERS), entity no. C3851652 infringe Plaintiffs’ 26 federal trademarks and trade names, causing irreparable harm to Plaintiffs; and that 27 28 1 2. The addresses on file for MERS, INC, entity no. C3851651, and MORTGAGE 2 ELECTRONIC REGISTRATION SYSTEM, INC. (MERS), entity no. C3851652, are false and do 3 not correspond to the corporate defendants or their officers; and that 4 3. Despite diligent efforts, the officers listed in the corporate registration documents 5 cannot be located and appear to be false. 6 The undertaking requirement for the above Temporary Restraining Order is hereby waived, 7 and this Temporary Restraining Order takes effect upon issuance. 8 9 REED SMITH LLP A limited liability partnership formed in the State of Delaware 10 ORDER RE SERVICE OF PROCESS This Order and the Order to Show Cause and Temporary Restraining Order and supporting 11 papers shall be served by First Class Mail on: (1) the California Secretary of State; and (2) the 12 Defendants at the addresses listed in their corporate records on file with the California Secretary of 13 State, as soon as practicable after issuance of this Order and no later than 22 days before the date set 14 for hearing, with the proof of service on the Secretary to be filed no later than five (5) court days 15 before the hearing. Any response or opposition to this Order to Show Cause must be filed and 16 served on Plaintiffs’ counsel no later than two (2) court day before the date set for hearing, and proof 17 of service shall be filed no later than one (1) court day before the hearing. 18 Pursuant to Federal Rule of Civil Procedure 4, California Code of Civil Procedure Section 19 415.50, and California Corporations Code Section 6064, the Court further finds that: 20 (1) Plaintiffs have established good cause also to serve the Summons and Complaint, this 21 Order, and the Court’s order of the same date, by publication on the basis that despite diligent efforts 22 to locate the Defendant corporations and their officers, Plaintiffs have been unable to do so. The 23 Court is thus satisfied that Defendants to be served cannot with reasonable diligence be served in a 24 manner other than by publication. 25 (2) The Court is also satisfied that a cause of action is pending against the Defendants, and 26 that the Defendants are necessary and proper parties to the action. 27 Accordingly, IT IS HEREBY ORDERED THAT the Summons and Complaint, this Order, 28 and the Court’s order of the same date shall be published in the East Bay Times and the Sacramento 1 Bee once a week for four successive weeks, with at least five days intervening between the 2 respective publication dates not counting such publication dates.
