IT IS HEREBY STIPULATED by and between the parties to this action, Plaintiff,

Imperial Woodworking Enterprises, Inc., and Defendants, Riley McClure and 135 LLC,

through their designated counsel that, as the settlement has been reached, the above-

referenced action is voluntarily dismissed with prejudice in its entirety pursuant of Civil

5

Procedure, Rule 41(a) and pursuant to the Settlement Agreement entered into between the

6

parties. The parties request the Court to vacate the April 18, 2018 Case Management

7

Conference and Hearing on the Motion to Transfer Action to the United States District Court

8

for the District of Colorado and close the file.
