Pursuant to Federal Rule of Civil Procedure 41(a)(1)(A)(ii), Plaintiff and Counter-

2 Defendant Moonlite Associates LLC (“Moonlite”) and Defendant and Counterclaimant the City of
3 Santa Clara (the “City”), by and through their respective counsel of record, hereby stipulate to the
4 dismissal of this action in its entirety (both Moonlite’s Complaint against the City [Dkt. No. 1] and
5 the City’s Counterclaim against Moonlite [Dkt. No. 20]) with prejudice, with each party to bear its
6 own attorneys’ fees and costs, and request that the Court enter an Order to that same effect.
