AS TO DEFENDA}IT S.D, TRANSFORTATION SERVICE$. LLC
Plaintiffhas fÏled his Complairrt and Defendant SÐ. Transportation Services, LLC ("S.D.
Transportation') has appeared by counsel, fiIed an Answer to the Complaint and, to avoid costly
litigation and without admitting or denyíng liability, hereby conserts to the entry of this consent
judgment and otder (the "Consent-Judggnf,') without contest. Bythis Consent Judgme,nl
as
well as a separately signed settlement agreement as to Stephen DiMarco (the "Set-tlgfnent
AEreemegtl'), Plaintiffand Defendants flrlly resolve all matters in controversy in this action.
WHEREAS, before 2005 drivers for motor carriers were generally exempt from overtime
under the Fair Labor Standards Act ('ELSA
)
pursuant to the Motor Canier Act oce,lnption; and
WIIEREAS, in 2005 Congress enaoted the Safe, Accountablg Flexible, Efficient
Transportation Equity Act:
A Legacy for Users ("SAFETEA-LU'), which eliminated
status of some drivers pursuant to the Motor Canier Act exemption; and

the exempt
IVHEREAS, in 2008 arnendments to SAFETEA-LU defined a "covered employee" to
include categories of drivers who were eligible to receive overtime compensationunderthe
FLSA specifically drivers of "small vehicles" (e,g, vehicles weigbing 10,000 pounds or less);
and
WHEREAS, S.D. Transportation is a motor carrier whioh has a fleet of vehicles that
includes both small vehicles and large commercial motor vehicles; and
IVHEREAS, S.D. Transportation has assertedthat neither SAFETEA-LU nor the 2008
SAFETEA-LU amendment nullified the Motor Ca¡rier Act exemption from overtime for its
drivers of small vehicles or large comrnerrcial motor vehicles; and
WHEREAS, S.D. Transportation has asserted that its drivers were not "covered
employees" within the meaning of the 2008 SAFETEA-LU amendments
if they operatedboth
small vehicles and large oommercial motor vehicles in any given workweek; and
WHEREAS, Plaintiffclaimed, and takes theposition, that the drivers were, and are,
"coveted employees" within the meaning of the 2008 SA¡ETEA-LU amendments and were and
are eligible for overtime compensation in any workweek in which they operated a small vehicle;
and
WHEREAS, to avoid further cost as well as the uncertainty of litigation, S.D.
Transportation €ntered into this Consent Judgment; and
WHEREAS, S.D. Transportation believes that the avoidance of further litigation is to its
benefit
as
well as the benefit of its drivers; and
WHEREAS, since January I,2014 S.D. Transportation began paying its drivers overtime
compensation in workweeks in which they worked more than 40 hours and also drove a srnall
vehicle.

Therefore, for good cause shown, it is:
1.
ORDERED, ADJUDGED and DECREED that Defendant S.D. Transportation,
as
well as its agents, servants, employees, and all persons acting or claiming to act on its behalf and
interest be, and they hereby are, permanently er$oined and reshained from violating the
provisions of the Fair Labor Standards Act,
the
"¡þ!'),
as amended (29 U.S.C, $ 201 et geq.) (hereinafter,
in any of the following manners:
a,
Defendant S.D. Transportation shall not, contrary to Sections 7 and
l5(a)(2) of the Act, employ any employee who in any workweek is engaged in commerce or in
the production of goods for commercg or who is employed in an enterprise engaged
in
coÍrmerce or in the production of goods for commerce, within the meaning of the Act, for
workweeks longer than forty (40) hours, unless such employee receives compensation for his
employrrent in excess of forty (40) hours at a rate not less than one and one-half times the
regular rate at which he is employed; and
b.
Defendant S.D. Transportation shall not fail to make, keep, and preserue
aocurate records of employees and of the wages, hours, and other..conditions and practices
of
emplo5anent m¿intained by it as prescribed by the regulations issued pursuant to Section 11(c)
the Act and found in 29 C.F.R. 516, as arnended from time to time.

Further, the Cor¡rt finds, and the parties agree, that Defendants' employees are
due the aggregate amount of $500,000.00, which is inclusive
of
(a) $250,000.00 in back wage
overtime compcnsation, and (b) S250,000.00 in liquidated damages; all as shown on Exhibit
attached hereto, which Exhibit
A is incorporated herein and made
a part

hereof. The Court
further finds, and the parties agree, that such employees are entitled to Interest (as defined in
Section 4(d) below) ondefenedpayments ofback wage overtime compensation and liquidated

damages at the rate of one percent per aDnum, compounded annually. Therefore, it is
ORDERED, ADruDGED and DECREED that the Defendant S.D, Transportation is rcstrained
from withholding palment of said back wage overtime compe,lrsatior¡ and is ordered to pay said
liquidated damages and Interest.

Defendant S.D. Transportation represents that Defendants have been in
compliance with the Act since on or before January
l,2Ol4. Plaintiffhas
relied on the foregoing
representalion an a material induceinent to enter into this Consent Judgment. Accordingl¡ it is
ORDRED, ADJUDGED and DECREED that any action for back wages or liquidated da:nages
which may have arisen on or after January i,,2014, shall be unaffected by this consent
Judgment.

It iS fi¡rtherORDERED, ADJUDGED AND DECREED thatDefendant S.D,
Transportation shall pay the back wage overtine compe,lrsation, liquidated damages and interest
set forth in Section 2 in the following manner:
a.
Defendant S.D. Transportation shall pay to Plaintiff: $250,000.00 in back
wage overtime compensation, 9250,000.00 in liquidated damages, and Interest (as defured in
Section 4(d) below)
(the'@).
The Total Employee Compensation
shall be paid in installments in accordance with the schedule set forth on Exhibit B attached
hereto, which Exhibit B is inco¡porated herein and made a part hereof. For each installment
shown on the attached
Elhibit B. Defendant S.D. Transportation shall, on or before the
date due,
deliver to Plaintiffa ce¡tified sheck or bank check in the gross amount then due. Each zuch
check shall be rnade payable to the "\Mage and Hour Division-Labor", include the note
"WHISARD No. 1609795', and be delivered to Plaintiffat the following address:

finds, that lnterest
will continue to accrue
on any amounts that are not paid timely in accordance
with the attached Exhibit B.

Plaintiffshall disnibute Defendant S.D. Transportatíon's pa¡anents of back wage
overtime compensation, liquidated damages and lnterest to the employees listed on the attached
Exhibit A or to their estates. Plaintiffwill deduct the employees' share of social secruity and
federal withholding taxes from back wage overtime compe,nsation before distributing such
amounts to employees. The amounts paid as liquidated damages and Interest shall not be subject
to deductions hereunder. Whenrecovered wages or damages have not been claimed by any
employee within three (3) years, because of inability to locate such employee orbecause of such
employee's refusal to acc€,pt such sums, Plaintiffshall deposit them into the United States
Treasury as miscellaneous receipts, pursuant to 29 U.S.C. $ 216(c).

Plaintiffand Defendant S.D. Transportation agree that this Consent Judgment
shall not affect the legal rights of any of Defendants' employees who are not named on the
attached Exhibit
A; provide{ however that Plaintiffagrees not to perfonn any further audit of
Defendant's payroll records with respect to any employee listed in Exhibit A or Exhibit B
attached to the First Amended Complaint in this action with regard to the period before January
L,2014, Plaintiffand Defendant S.D. Transportation consent and agree that the claims of
individuals who are named on Exhibit A or Exhibit B of the First Amended Complaint in this
action but not named on the attached Exhibit A. shall be dismissed without prejudice, and such
individuals shall retain their right to file zuit for any violations alleged to have occuned under the
Act. Accordingly, it is ORDRED, ADJUDGED
and DECREED that ariy claims which may
have arisen under the Act with respect to individuals who are named on Exhibit A or Exhibit B

of the First Amended Complaint in this action but who are not named on the attached Exhibit A,
are hereby dismissed from this action without prejudice.
7.
It is ORDERED that neither Defendant S.D. Transportation nor anyone on its
behalf shall, rmder any circumstances, accept orkeep any amount rehtned to it by an intlividual
owed compensation under the Settlement Agreernent or this Consent Judgment, or otherwise
attempt to recov€,r any amount paid to any such individual in connection with the Settlement
Agreement or this Consent Judgment, ln the event that any such arnount is received from an
employee, Defendant S.D. Transportation shall irnmediately rernit suoh amount to Plaintiff at the
Philadelphia, PA address set forth in Section 4(a) above.

Section 10 below. Defendant may within seven (7) days of such notice cure the alleged Payment
Default. Subject to the preceding riotice requirement and opportunity to cure, Defendant S.D.
Transportation hereby consents and agrees that Plaintiffshall have the right to file with the
Court, and the Court may enter, the Amemded Consent Judgment that is attached to the
Settlement Agreement as Attaohme¡rt 2, upon the occurrence of a Payment Default or other
Event of Default as set forth in Section 6 of the Settlement Agreement.
9.
It is turther ORDERED, ADJUDGED arrd DËCREED that eachparty shall bear
its own fees and other expenses incurred by such party in connection with any stage of this
proceeding.
