ENTRY ON PENDING MOTIONS: The court grants plaintiffs' motion for summary judgment on the counterclaim for breach of contract. The court denies defendants' motion to dismiss plaintiffs' Count VIII, which seeks a declaratory judgment on the same claim. The court denies the remainder of defendants' motion to dismiss but converts the motion to a motion for summary judgment on all remaining claims. Plaintiffs are hereby ORDERED TO SHOW CAUSE no later than February 1, 2011 why summary judgment should not be granted to defendants as to Counts I through VII.
