Plaintiffs have failed to state a claim upon which relief may be granted. Plaintiffs' Complaint does not comply with the pleading requirements found in the Federal Rules of Civil Procedure. 3. 4. 5. 6. The District Court lacks jurisdiction over the Defendants. The District Court lacks subject matter jurisdiction. Plaintiffs' Complaint is barred by the Eleventh Amendment. This Court should abstain from deciding the delegation question because the question of whether the Michigan Legislature improperly delegated its authority to a private entity is a question primarily of state law. 7. Defendants pray the Court enter its judgment denying Plaintiffs' Complaint with prejudice and award them any other relief it determines appropriate. Respectfully submitted, Michael A.
