I, Barbara P. Berens, hereby declare as follows:

Minneapolis, Minnesota, which represents Plaintiffs Tom Brady, et al., in this
matter. I have personal knowledge of and am competent to testify to the

Stipulation and Settlement Agreement, originally executed on February 26, 1993
and as amended on March 8, 2006.

Exhibit B hereto is a true and correct copy of the final consent
