Plaintiff Kazuo Okada's ("Okada") Motion for Preliminary Injunction against Defendant

Wynn Resorts, Limited ("Wynn Resorts") came before this Court for hearing on February 15,

THE COURT HEREBY FINDS that Okada failed to demonstrate that the definitive proxy

11

statement Wynn Resorts filed with the SEC on January 3, 2013 in connection with the special

12

meeting of stockholders to be held on February 22, 2013 for the purpose of allowing the

13

stockholders to consider and vote on a proposal to remove Okada as a director of Wynn Resorts

14

contained false or misleading statements.

Accordingly, IT IS HEREBY ORDERED, ADJUDGED, AND DECREED that the
Motion for Preliminary Injunction is DENIED.
