Pursuant to Rule 26(c) of the Federal Rules of Civil Procedure, and in accordance with the
stipulation of the Parties to this action, and for good cause shown,
3
IT IS HEREBY ORDERED as follows:
4
1.
This Protective Order shall govern all documents, videos and film, materials,
5
depositions, testimony, transcripts, responses to requests for admissions, interrogatory responses,
6
items, and/or other information obtained or provided through discovery in this action (collectively
7
“Information”) that a Party designates as “Confidential” or “Confidential – Attorney’s Eyes
8
Only” pursuant to the terms hereof (collectively “Confidential Information”).
Confidential Designations

2.
Any Party that produces Information pursuant to discovery in this action and has a

good faith and reasonable basis for claiming that such Information constitutes confidential and/or

proprietary information may designate such Information as “Confidential Information.” Any
13
Party that produces Information pursuant to discovery in this action and has a reasonable basis for
14
claiming that such Information would not be sufficiently protected as “Confidential Information”
15
(for example, because of a significant competitive advantage that is likely to be gained from it)
16
may designate such Information as “Confidential – Attorney’s Eyes Only.”
17
a.
For documents, materials, or other written Information, a Party shall
18
designate such Information as Confidential Information by conspicuously stamping or otherwise
19
labeling each page or item containing confidential information as “Confidential” or “Confidential
20
-- Attorney’s Eyes Only.”
21
b.
For interrogatories, designation shall be made by placing the legend
22
“Confidential” on any page(s) of any answer deemed to contain such confidential information,
23
indicating any portion of such page which does not contain such confidential information.
24
Alternatively, answers deemed to contain confidential information may be bound separately and
25
marked with the appropriate legend.

c.
For testimony, a Party shall designate such Information as Confidential
27
Information on the record or within 30 days after receipt of the official transcript. Until the 30
28
day period has expired, the entire transcript shall be considered “Confidential-Attorney’s Eyes

Only.” Such Party shall also require the reporter to label the portion of the transcript containing
2
the information as “Confidential” or “Confidential – Attorney’s Eyes Only.”

d.
A Party’s inadvertent or unintentional failure to designate Information as
4
Confidential Information shall not be deemed a waiver in whole or in part of that Party’s claim of
5
confidentiality, if the disclosing Party takes prompt action after discovering such omission to
6
notify all Parties in writing that such Information constitutes Confidential Information. However,
7
the Party who received that Information without knowledge of its confidential nature may not be
8
held in violation of this Order for using or disclosing that Information before notification of the
9
inadvertent or unintentional failure to designate that Information as Confidential Information.

3.
The designation of information as “Confidential Information” pursuant to this

Protective Order shall not preclude any party from disclosing that information to any person who,

in the case of a document, appears as the author or as a recipient thereof on the face of the
13
document, or from disclosing that information to any person who has been identified by the
14
Designating Party as having previously been provided with, or having had access to, the
15
document or the information therein.

In the event a Designating Party elects to produce documents for inspection and
17
the Receiving Party desires to inspect them before designating them for copying, the Designating
18
Party need not mark the documents in advance of any such inspection. For purposes of the
19
inspection, and any subsequent inspection of the original documents, all documents produced for
20
inspection shall be deemed to be designated as Confidential Information. Thereafter, upon
21
selection of specified documents for copying by the Receiving Party, the Designating Party may
22
make the appropriate confidentiality designation at the time the copies are produced to the
23
Receiving Party.
Use and Disclosure of Confidential Information in this Action

5.
The Parties shall use information designated as Confidential or “Confidential –
26
Attorney’s Eyes Only” solely for purposes of this captioned action (including any appeals) and
27
not for any other litigation or business or other purpose whatsoever, unless the Parties stipulate in
28
writing or the Court permits such additional use or disclosure upon noticed Motion served on all

parties, including the Party that produced the Confidential Information.

The Parties may use Confidential Information in discovery responses, motions,
Confidential Information in depositions and at trial in this action as appropriate.

otherwise agreed upon by the parties, or ordered by the Court, in the event a party seeks to file

any material that is subject to protection under this Order with the Court, that party shall take
7
appropriate action to insure that the documents receive proper protection from public disclosure,
8
such as: (1) filing a redacted document with the consent of the party who designated the
9
document as confidential; (2) where appropriate (e.g. in relation to discovery and evidentiary
10
motions), submitting the documents solely for in camera review; or (3) where the preceding
11
measures are not adequate, seeking permission to file the document under seal.

briefs, and other pleadings, may mark Confidential Information as exhibits, and may use

circumstances making prior consultation impractical or inappropriate, the party seeking to submit
13
the document to the court shall first consult with counsel for the party who designated the
14
document as confidential to determine if some measure less restrictive than filing the document
15
under seal may serve to provide adequate protection. This duty exists irrespective of the duty to
16
consult on the underlying motion.

7.
Unless
Absent
Prior to the use, introduction and/or admission into evidence of the designated
18
information at the time of trial, the parties shall confer and determine whether the material may
19
be used in a redacted or modified form. If the parties cannot agree, the parties shall seek leave of
20
Court for same. The parties agree that no information designated under this Order shall go into
21
the public record or become publically available by virtue of use at trial. In the event of a jury
22
trial, although the jury may review the materials as necessitated by the ordinary course of the
23
proceedings, the jury will be instructed not to disclose any such information to anyone else.
Persons Permitted to Have Access to Confidential Information
24

8.
Except as provided in paragraph 6 and 7 above, or as otherwise agreed by the
26
producing Party, the Parties shall not disclose information marked as “Confidential” to anyone
27
other than a “Qualified Person.” As used in this Protective Order, the term “Qualified Person”
28
refers to (a) officers, directors, and employees of any party to this action who have provided their

and (i) who are actively engaged in assisting counsel with the prosecution or defense of this

action; or (ii) who are being advised by counsel regarding these actions and the particular
4
disclosure is reasonably necessary with regard to the legal advice being rendered; (b) in-house
5
lawyers who are engaged in preparation for trial and trial of this litigation, including the
6
following necessary in-house staff: lawyers, accountants, legal assistants and stenographic and
7
clerical employees assisting these persons; (c) outside litigation counsel for a Party, including
8
employees of such counsel (including necessary legal assistants and stenographic and clerical
9
employees actually assisting such counsel and outside vendors engaged by such counsel to scan,
10
copy, and/or code documents), for purposes of assisting in this action; (d) expert witnesses or
11
consultants employed by a Party or its attorneys of record for purposes of assisting in this action
12

written agreement to the terms of this Protective Order in the form attached as Exhibit A hereto

who have provided their written agreement to the terms of this Protective Order in the form
13
attached as Exhibit A hereto; (e) any other person whose deposition is taken in this action and
14
their attorney; provided, however, that Confidential Information may only be shown to said
15
deponent and their attorney to the extent Confidential Information is used as deposition exhibits
16
and, provided, however, that the deponent is not a principal, officer, director, or employee of a
17
competitor of one of the parties.

9.
If a deposition is proposed to be taken of such an individual associated with a
19
competitor and a party wishes to use “Confidential Information” in the deposition, the party
20
wishing to do so shall provide notice to the opposing party at least fourteen (14) days in advance
21
in order to give the other party the opportunity to object to such a proposed use, and in the event
22
that the parties cannot come to an agreement on the proposed use of “Confidential Information”
23
for deposition, the objecting party may seek a protective order from the Court; This Protective
24
Order shall not prohibit any disclosure of “Confidential Information” as may be required by law
25
to persons other than “Qualified Persons,” but only upon order of the Court after notice to all
26
other Parties. With respect to those individuals who, pursuant to paragraph 8 above, are required
27
to sign a copy of Exhibit A before receiving Confidential Information or information marked as
28
“Confidential – Attorney’s Eyes Only,” the Parties agree that they shall mutually exchange all

executed copies of “Exhibit A” relating to this action at the close of expert discovery.
10.
Except as provided herein, or as otherwise agreed by the producing Party, the
other than the following subset of “Qualified Persons:” (a) outside counsel for a Party, and
5
employees of such attorneys (including vendors), for purposes of assisting in this action; (b) any
6
other person or entity as to whom counsel for the owner/proprietor of the confidential
7
information agrees in writing, or whom the Court directs shall have access to such information;
8
(c) expert witnesses or consultants employed by a Party or its attorneys of record for purposes of
9
assisting in this action who have provided their written agreement to comply with the terms of
10
this Protective Order in the form attached as Exhibit A hereto; and (d) the Court and court
11
personnel, including without limitation, court reporters, stenographic reporters, court appointed
12

Parties shall not disclose information marked as “Confidential – Attorney’s Eyes Only” to anyone

Special Masters, and jurors, or alternates. Prior to disclosing any information marked as
13
“Confidential – Attorney’s Eyes Only” to experts or consultants pursuant to this paragraph,
14
Counsel for the party contemplating such disclosure shall determine that (i) disclosure to the
15
expert of particular “Confidential Information” is, in that counsel’s good faith judgment,
16
necessary to that party’s prosecution of the case, (ii) the expert is not, and is not believed to
17
intend to become, affiliated with or employed by any entity that is or intends to become a
18
competitor of the opposing party, and (iii) counsel has formed a good faith and informed belief
19
that the individual has not previously violated any confidentiality agreement or order and is not
20
likely to violate the terms of this Protective Order. No Qualified Person shall disclose any
21
“Confidential – Attorneys’ Eyes Only” information to anyone other than a Qualified Person who
22
falls within the limited subset of Qualified Persons identified in Paragraph 7; provided, however,
23
this Protective Order shall not prohibit any disclosure of “Confidential – Attorney’s Eyes Only”
24
that may be required by law to persons other than “Qualified Persons,” but only upon order of the
25
Court after notice to all other Parties. Also, no Qualified Person shall: (a) use Confidential
26
Information for any purpose other than in connection with this action; or (b) disclose Confidential
27
Information to anyone other than a Qualified Person who has agreed in writing to the terms of
28
this Protective Order in the form attached as Exhibit A. No Qualified Person shall disclose any

“Confidential – Attorneys’ Eyes Only” information to anyone other than a Qualified Person who
2
falls within the limited subset of Qualified Persons identified in Paragraph 7.
Procedure for Challenging Designation of Producing Party

11.
If at any time during the pendency or trial of this action, any Party claims that
Attorney’s Eyes Only,” the objecting Party may, after a good faith attempt to resolve the dispute
7
with such other Party, make an appropriate application to this Court, requesting that specifically
8
identified Information be re-designated or excluded from the provisions of this Protective Order.

Before making any application to the Court for Information to be re-designed, the Party must
10
send written notice to the Designating Party that specifically identifies the challenge to the
11
designation and which allows the Designating Party at least fourteen (14) days to re-designate the

another Party has unreasonably designated Information as “Confidential” or “Confidential –

Information. If the Court determines that a Party’s refusal to de-designate the Information as
13
“Confidential” or “Confidential – Attorney’s Eyes Only" was in bad faith, the Court shall award
14
the moving Party its reasonable attorney’s fees and costs incurred in the application proceeding.

The burden of proof with respect to upholding the designation shall be on the Party designating
16
the information as “Confidential” or “Confidential – Attorney’s Eyes Only.”
Matters Otherwise Known Shall Not be Confidential Information
17

12.
Notwithstanding any other provision hereof, this Protective Order shall not apply
19
to any Confidential Information that: (a) is or becomes generally available to the public from a
20
source other than unauthorized disclosure by the Parties or their counsel, (b) becomes available to
21
the Parties or their counsel on a non-confidential basis from a source other than the Parties or
22
their counsel, or (c) is obtained outside discovery proceedings in this litigation through lawful
23
means.

Third Party Producing Information

13.
In the event that non-Parties produce documents or information in connection with
4
this action, the Parties agree that production of such documents or information shall be made
5
subject to the provisions of this Protective Order. The Parties shall agree to meet and designate
6
all production from non-parties as “Confidential” or “Confidential – Attorney’s Eyes Only,” or
7
neither, prior to any such production being filed, disseminated, released, submitted or made part
8
of the Court file or public record. In the event the Parties are unable to agree on a designation of
9
said production, the parties may resort to the Court to determine the confidentiality of such
10
information, but shall not produce, file or disseminate any information for production prior to the
11
Court’s determination of the classification of the information.

In the event that a Party or non-Party witness to which Confidential Information
13
has been disclosed receives a discovery request, subpoena, order or other form of compulsory
14
process requiring that it (the "subpoenaed Party") produce information, documents, things or
15
other materials that have been designated as Confidential Information, the subpoenaed Party shall
16
(a) within ten (10) days notify the designating Party of the demand by serving by facsimile upon
17
counsel of record for the designating Party a copy of said demand, and (b) not produce the
18
information sought by the demand until the designating party has had thirty (30) days from the
19
date of service of the copy of said demand to object or take other appropriate steps to protect the
20
information. If the designating Party elects to resist production of the materials, it shall promptly
21
so notify the subpoenaed Party and the latter shall cooperate in affording the designating Party the
22
opportunity to oppose or limit production of the materials; provided that the designating Party
23
shall bear all expenses, including attorneys' fees, incurred by the subpoenaed Party in connection
24
therewith.

This Stipulation and Order Are Not Dispositive
26
of All Issues Regarding Confidential Information
27

15.
Nothing in this Protective Order shall be deemed to preclude any Party from
obtaining, on an appropriate showing, additional protection with respect to the confidentiality of

any Information produced in discovery in this action, or other modification of this Order. The
2
entry of this Protective Order shall neither constitute, nor be used as a basis for, a finding that any
3
Party has waived any objections that it may have to the use, relevance, or admissibility of any
4
Information.

16.
The production of any document or other information during discovery in this
6
action, which absent such production would have been in whole or in part privileged under the
7
attorney-client privilege, work-product privilege, or any other applicable privilege, will not
8
release or waive the attorney-client privilege, work-product privilege, or other applicable
9
privilege as to any documents and other information not produced, regardless of its subject
10
matter.

This Protective Order shall remain in effect until modified, superseded, or
terminated by written consent of all Parties to this action or by further order of this Court.

Execution of this Protective Order shall not prevent a Party from seeking, upon
14
application to the Court on ten (10) business days’ notice, to modify this Protective Order for
15
good cause shown or from seeking such other relief upon good cause shown as may become
16
appropriate or necessary.
Disposition of Confidential Information After Conclusion of this Action
17

19.
Within ninety (90) days from the conclusion of this litigation, whether by trial or
19
by settlement, all Confidential Information, including any copies thereof, shall either be returned
20
to the producing Party, or be certified as having been destroyed. Subject to the terms of this
21
Protective Order, the attorneys of record, however, are permitted to keep a file copy of
22
Confidential Information that was submitted to the Court, included in discovery responses, or
23
contained in deposition transcripts. Also, the conclusion of this litigation shall not relieve any
24
person to whom Confidential Information has been disclosed from the requirements of this
25
Protective Order.
