deemed executed by DISTINCTIVE MARBLE, INC.

This Stipulation is necessary because DISTINCTIVE MARBLE, INC. is no longer in

business and there is no representative of the corporation available to execute the Settlement

11

Agreement and Release.

This Stipulation is entered into in good faith, in the interests of judicial economy, and

not for the purposes of delay.
