(“Defendant,” together with Plaintiff, the “Parties”), through their respective 26 attorneys of record, agree and stipulate as follows: 27 / / / 28 STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT 1 1. Terms: The terms defined in this Paragraph shall have the meanings 2 provided. Defined terms may be used in the singular or plural. 3 1.1 “Producing Party” means the party, or person other than a party, 4 being asked to produce documents or information considered by 5 that party or person to be Confidential Information, or a party 6 asserting a confidentiality interest in information produced by 7 others. 8 1.2 production of Confidential Information. 9 REED SMITH LLP A limited liability partnership formed in the State of Delaware 10 “Receiving Party” means that party receiving or requesting 1.3 “Confidential Information” means information, whether or not 11 embodied in any physical medium, including all originals and 12 copies of any document and/or information, used by the 13 Producing Party in or pertaining to its business, or information 14 pertaining to third-party privacy interests, which information the 15 Producing Party believes in good faith to be protected from 16 disclosure under applicable law as (i) private information, (ii) 17 trade secrets, (iii) non-public competitive financial or business 18 planning information that the Producing Party is prohibited by 19 law or contract from revealing to third parties except in 20 confidence, or has undertaken by contract with others to maintain 21 its confidence. Nothing herein is intended to confer confidential 22 or protected status on information that is not otherwise protected 23 under Nevada or federal law or which has been publicly 24 disseminated. 25 1.4 “Litigation Documents” means all pleadings, motions, affidavits, 26 declarations, and related papers, all documents produced or 27 exchanged in the course of this matter or any settlement 28 –1– STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT 1 negotiations, all written discovery responses and all transcripts 2 and testimony given at any proceedings or hearings of any kind. 1.5 3 “Action” specifically refers to the proceedings or settlement in the above-captioned action. 4 1.6 5 “Termination” means the settlement of this Action, dismissal of 6 this Action, entry of final judgment and expiration of all periods 7 to appeal or seek arbitral or judicial review of this Action. 1.7 8 Confidentiality Agreement and [Proposed] Order. 9 REED SMITH LLP A limited liability partnership formed in the State of Delaware 10 11 “Order” refers to this Stipulated Protective Order and 2. Use Of Confidential Information. 2.1 All documents and information designated in good faith by a 12 party to the Action as Confidential Information shall be used 13 solely for the purposes of this Action and shall not be used for 14 any other purpose, including, without limitation, any media 15 communications, public relations matter, business or commercial 16 purpose, product development, intellectual property development, 17 or in any other legal proceeding, action or matter and shall not, 18 directly or indirectly, in whole or in part, be revealed or disclosed, 19 or made available for inspection or copying to persons other than 20 “qualified 21 Notwithstanding the above, a party to the litigation may use their 22 own Confidential Information as they see fit unless doing so 23 would disclose another party’s Confidential Information and that 24 other party does not consent in writing to that use. 25 2.2 persons” as defined in paragraphs 2.2. “Qualified Person” for Confidential Information means: 26 (a) Counsel of record in this Action and such partners, 27 associate attorneys, paralegal, legal assistants, and stenographic 28 –2– STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT 1 or clerical employees of such counsel as have been assigned to 2 assist counsel in the prosecution, defense or settlement of such actions; 3 4 (b) Persons designated as witnesses to the extent reasonably necessary for such persons to prepare for and to testify; 5 used or retained by counsel or a party as an expert or consultant, 8 to the extent deemed necessary by counsel to aid in the 9 prosecution, defense or settlement of this Action, provided that 10 REED SMITH LLP (c) 7 A limited liability partnership formed in the State of Delaware 6 Any expert or consultant, including any employees thereof, each such expert has read this Order in advance of disclosure 11 and undertakes in writing to be bound by its terms. A copy of 12 such writing shall be furnished to the producing party on 13 reasonable request as set forth in Paragraph 2.3, except 14 consulting experts shall not be disclosed except upon order by the 15 Court; 16 (d) The Court having jurisdiction over this Action; 17 (e) Any person designated by the Court in the interest of 18 justice, upon such terms as the Court may deem proper; 19 (f) 20 testimony in this Action and any outside independent 21 reproduction firm; 22 (g) 23 of a document; 24 (h) 25 mediator in this Action; 26 (i) Any court reporter or typist recording or transcribing Any person who was the author, recipient or copy recipient Any person whom the parties have agreed to use as a Parties to this action; 27 28 –3– STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT (j) 1 Law enforcement official requesting such documents or information pursuant to official investigation in this 2 3 Action; and 4 (k) 5 Investigators retained to assist in this Action. In the event that any of the foregoing persons ceases to be engaged in the 6 participation in this Action, access by such person(s) to material designated as 7 Confidential Information shall be terminated. Any such material in the possession 8 of any such person(s) shall be returned or destroyed. The provisions of this Order 9 shall remain in full force and effect as to all such person(s) as to all such material REED SMITH LLP A limited liability partnership formed in the State of Delaware 10 and the obligations not to disclose any portions of such material, except as may be 11 specifically ordered by the Court. 12 2.3 No person receiving material or a transcript designated as 13 Confidential Information shall disclose it or its contents to any 14 person other than those described in Paragraph 2.2. No such 15 disclosure shall be made for any purposes other than those 16 specified in Paragraphs 2.1. Counsel shall be responsible for 17 obtaining prior written agreement to be bound to the terms of this 18 Order from all persons not specified in Paragraph 2.2, to whom 19 any material or transcript so designated is disclosed. Such written 20 agreement shall be obtained by securing the signature of any 21 recipient of such discovery material or transcript on a copy of 22 Attachment “A” to this Order after having such recipient read it 23 and having explained its contents to such recipient. Counsel shall 24 be responsible for maintaining a list of all persons to whom any 25 material or transcript so designated is disclosed. In the event that 26 a person to whom counsel seeks to disclose Confidential 27 Information refuses to agree to be bound by this protective order, 28 –4– STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT 1 counsel shall notify counsel for the Producing Party and attempt 2 to informally resolve the issue. Should counsel fail to reach an 3 informal resolution, then the party seeking disclosure of the 4 Confidential Information may seek relief from the Court. 5 3. Designation of Confidential Information. 3.1 6 Documents. Any Producing Party may, in good faith and with contained in a document or thing specifically by marking the 9 document or thing as “CONFIDENTIAL.” Each Party that 10 REED SMITH LLP reasonable 8 A limited liability partnership formed in the State of Delaware 7 designates information or items for protection under this Order 11 must take care to limit any such designation to specific material 12 that qualifies under the appropriate standards. The Producing 13 Party must designate for protection only those parts of material, 14 documents, items, or oral or written communications that qualify 15 – so that other portions of the material, documents, items, or 16 communications for which protection is not warranted are not 17 swept unjustifiably within the ambit of this Order. 18 Mass, indiscriminate, or routinized designations are prohibited. 19 Designations that are shown to be clearly unjustified or that have 20 been made for an improper purpose (e.g., to unnecessarily 21 encumber or delay the case development process or to impose 22 unnecessary expenses and burdens on other parties) expose the 23 Producing Party to sanctions. 24 25 26 4. diligence, designate Confidential Information Mistake or Inadvertence. 4.1 Notwithstanding the procedure set forth in paragraph 3, above, documents or other discovery materials produced and not 27 28 –5– STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT 1 designated as CONFIDENTIAL through mistake or inadvertence 2 may be designated as Confidential Information upon notice of 3 such mistake or inadvertence, with the Receiving Party reserving 4 the right to assert, depending on the circumstances, that such later 5 designation is improper. 4.2 6 If a Producing Party inadvertently produces information that it otherwise protected from disclosure, the production of that 9 information will not be presumed to constitute a waiver of any 10 REED SMITH LLP later discovers, or in good faith later asserts, to be privileged or 8 A limited liability partnership formed in the State of Delaware 7 applicable privileges or other protections. In these circumstances, 11 the Producing Party must immediately notify the Receiving Party 12 in writing of the inadvertent production and the basis for the 13 privilege or other protection from production, and request in 14 writing the return or confirmed destruction of the privileged or 15 protected information. Within five (5) days of receiving such 16 notification, and in compliance with the Receiving Party’s ethical 17 obligations under the law, the Receiving Party must return or 18 confirm destruction of all such materials, including copies and/or 19 summaries thereof. 20 5. Challenge of Designation. The Receiving Party shall not be obligated 21 to challenge the propriety of the Confidential Information designation at the time 22 made or upon a submission to the Court. In the event a party disagrees at any stage 23 of these proceedings with the Producing Party’s designation of Confidential 24 Information, the parties shall first try to dispose of such dispute in good faith on an 25 informal basis. If the Parties cannot resolve a challenge without the Court’s 26 intervention, the Designating Party will submit a motion to the Court within 21 days 27 of the initial notice of challenge, or within 14 days of the parties agreeing that the 28 –6– STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT 1 meet and confer process will not resolve their dispute. The burden of persuasion in 2 any such challenge proceeding shall be on the Designating Party. Unless the 3 Designating Party has waived the confidentiality designation by failing to file a 4 motion to retain confidentiality as described above, all parties shall continue to 5 afford the material in question the level of protection to which it is entitled under the 6 Producing Party’s designation until the Court makes a final determination on the 7 challenge. 8 6. Continuing Duties Under Order. The provisions of this Order shall 9 not end at the termination of this Action. This Order shall remain in full force and REED SMITH LLP A limited liability partnership formed in the State of Delaware 10 effect and each person subject to this Order shall continue to be subject to the 11 jurisdiction of this Court for the purposes of enforcement of the confidentiality terms 12 of this Order. Within 120 days after termination of this Action, upon written request 13 from the Producing Party all Confidential Information and all copies of same (other 14 than Litigation Documents and attorney work product containing references to such 15 information) shall be returned to the Producing Party or made available for pick-up 16 at its cost, or alternatively destroyed. All counsel of record shall make certification 17 of compliance herewith and shall deliver the same to counsel for the Producing Party 18 not more than 45 days after receiving the written notice required under this 19 Paragraph. 20 7. Modification Permitted. Nothing in this Order shall prevent a party 21 from seeking modification of this Order. 22 8. Responsibility of Attorneys. The attorneys of record are responsible 23 for employing reasonable measures, consistent with this Order, to control 24 duplication of, access to, and distribution of copies of Confidential Documents. 25 Parties shall not duplicate any Confidential Document except working copies and for 26 filing in court under seal. All copies made of Confidential Documents shall bear the 27 appropriate confidential designation. 28 –7– STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT 1 9. No Waiver. 9.1 2 Review of the Confidential Information by counsel, experts, or 3 consultants for the litigants in the Action shall not waive the 4 confidentiality of the documents or objections to production or 5 from otherwise objecting to discovery that it believes to be 6 improper. 9.2 7 The inadvertent, unintentional, or in camera disclosure of 8 Confidential Documents and information shall not be deemed a 9 waiver in whole or in part, of any party’s claims of confidentiality. REED SMITH LLP A limited liability partnership formed in the State of Delaware 10 9.3 11 The Parties acknowledge that a separate order will be required 12 pertaining to the treatment and handling of Confidential 13 Information at trial and agree to stipulate to a separate order 14 pertaining to the treatment and handling of Confidential 15 Information at trial . 16 10. Nothing contained in this Order and no action taken pursuant to it shall 17 prejudice the right of any party to contest the alleged confidentiality, relevancy, 18 admissibility, or discoverability of the Confidential Documents and information 19 sought. 20 / / / 21 / / / 22 / / / 23 24 25 26 27 28 –8– STIPULATED PROTECTIVE ORDER AND CONFIDENTIALITY AGREEMENT 11. 1 The terms of this Order shall survive and remain in effect after the 2 termination of this Action.
