MEMORANDUM & ORDER: Because Kain and Keeler have sufficient contacts with the United States and because the court's exercise of jurisdiction is reasonable under the circumstances, Kain and Keeler's motions to dismiss for lack of personal ju risdiction are denied. The SEC has pled sufficient facts to state claims for securities fraud against Kain and her motion to dismiss the Complaint under Rule 12(b)( 6) is also denied. Ordered by Judge Nicholas G.
