ORDER ADOPTING REPORT AND RECOMMENDATIONS for 47 Motion to Dismiss filed by HSBC-North America (US) Retirement Income Plan, HSBC-North America Holdings Administrative Committee, 62 Report and Recommendations. Upon de novo review and consideratio n of plaintiff's objections, the Report is rejected in part and accepted in part as set forth herein. For the reasons set forth herein, and in so much of the Report as is accepted herein, defendants' motion to dismiss the amended complaint pursuant to Rules 12(b)(1) and (6) of the Federal Rules of Civil Procedure is granted and the amended complaint is dismissed in its entirety.
