OPINION & ORDER: The remaining arguments of the parties are without merit and therefore, are not addressed. For the reasons set forth above, Plaintiff's Motion for Summary Judgment is GRANTED. Defendant's second counterclaim for breach of f iduciary duty is DISMISSED. Additionally, Plaintiff's Motion to Amend is GRANTED. Plaintiff shall file the proposed Second Amended Complaint within thirty (30) days of entry of this Order. The Court will hold a status conference in this case on August 15, 2014 at 10:30 a.m. The parties should appear in person at the Thurgood Marshall United States Courthouse, 40 Foley Square, Courtroom 1306 on the above mentioned date and time.
