Pursuant to Rule 7.1 of the Federal Rules of Civil Procedure, the undersigned counsel for
Holtzbrinck Publishers, LLC d/b/a Macmillan (“Macmillan”) and Verlagsgruppe Georg von
Holtzbrinck GMBH (“von Holtzbrinck”) certifies that these parties are non-governmental
corporate parties and that:

Macmillan has no subsidiaries and its ultimate corporate parent entity is von Holtzbrinck,
a German entity. There are no publicly held companies in the chain of ownership between
Macmillan and its ultimate parent entity. Although Macmillan has affiliate entities in the United
States and around the world, none of these is a publicly held company with ownership interests
or control with respect to Macmillan or von Holtzbrinck.

Von Holtzbrinck has no parent entity and, although it has affiliate and subsidiary entities
in the United States and around the world, no one of these is a publicly held company with
ownership interests or control with respect to von Holtzbrinck or its subsidiary, Macmillan.
