I have studied the parties' briefs and the proposed complaint. 1 - ORDER The proposed amendment would not be f u t i l e . I conclude t h a t p l a i n t i f f s have made a s u f f i c i e n t showing to j u s t i f y the f i l i n g of the second amended complaint. B e c a u s e I am g r a n t i n g p l a i n t i f f s ' m o t i o n t o f i l e a s e c o n d amended complaint, defendants' motion to dismiss the f i r s t a m e n d e d c o m p l a i n t i s now m o o t . Defendants may f i l e a motion t o dismiss the second amended complaint within twenty days from the date of this order. Plaintiffs will have ten days to f i l e a response b r i e f , and defendants may f i l e a r e p l y b r i e f within ten days of the response brief. I authorize plaintiffs to serve the confidential addendum to the second amended complaint on counsel for the Ocean Gold Group defendants, i f counsel signs the Stipulation and Protective Order governing the exchange of confidential information in this action. If counsel for e i t h e r side shows t h a t more time i s needed for briefing, I will consider granting an extension. CONCLUSION P l a i n t i f f s ' motion to f i l e a second amended complaint (#95) is granted. Defendants' motion to dismiss the f i r s t is denied as moot.
