MEMORANDUM (Order to follow as separate docket entry). We will grant Plaintiff United's Doc. 24 Motion to Dismiss Defendant AM Skier's Counterclaim. Based on the foregoing, we find it would be futile and prejudicial to Plaintiff United to grant Defendant AM Skier leave to amend its Counterclaim against Plaintiff.
