OPINION AND ORDER OF COURT: It is Ordered that KeyBank's Motion to Dismiss Counterclaims (Docket No. 16 ) is DENIED as to Counts I, II, and V and the negligent misrepresentation claim of Count III and GRANTED without prejudice as to the fraudul ent misrepresentation claim of Count III and Count IV. The Voyager Entities may file Amended Counterclaims curing the deficiencies, as noted in the above opinion, in their counterclaims for fraudulent misrepresentation and constructive fraud by February 18, 2010.
