I, Jennifer M. Keough, declare as follows:

I am the Chief Operating Officer of The Garden City Group, Inc. (“GCG”). The

21 following statements are based on my personal knowledge and information provided by other GCG

22 employees working under my supervision and, if called on to do so, I could and would testify
23 competently thereto. GCG has been providing comprehensive legal administration services for
24 over 25 years. Our team has served as administrator for over 2,500 cases. In connection with
25 serving as administrator in those cases, we have mailed over 287 million notices, disseminated
26 over 700 million emails, handled over 28 million phone calls, processed over 50 million claims,

1 and distributed over $33 billion in benefits. GCG’s legal notices have appeared in more than 40
2 languages in approximately 170 countries.

GCG is serving as the Settlement Administrator in the above-captioned litigation

4 (the “Lawsuit”) , for the purpose of providing notice and settlement administration. In this
5 capacity, GCG is charged with, among other duties, (a) receiving, organizing and analyzing data

6 provided by Counsel; (b) reviewing and formatting the Short-Form Notice and the Claim or
7 Exclusion Form (“Notice Packet”); (c) reviewing and formatting the Long-Form Notice which was
8

posted on the website; (d) printing and mailing the Notice Packets to Class Members; (e) creating

9

and maintaining a Settlement Website; (f) providing a toll-free telephone number for Class

10 Members and establishing and maintaining an interactive voice response (“IVR”) system; (g)
11 processing undeliverable mail and locating updated addresses for Settlement Class Members; (h)
12 processing other communications about the Settlement; (i) processing claims and cross-referencing
13 with the original data provided; (j) determining if the claimant filed an “Approved Claim,” as
14 defined in the Settlement Agreement and Release (“Settlement Agreement”), Section III., A., 1. (p.
2); (k) identifying deficient claims and providing this information to Counsel; (l) providing weekly
15
16 reports to Counsel; and, (m) providing a declaration attesting to the completion of the notice
17 process and the ongoing settlement administration process to Counsel for filing with the Court.
RECEIPT AND HANDLING OF DATA

On June 12, 2012, Counsel for Defendant provided GCG with a link to a secure

20 website, which contained a database of the Class Members in the Lawsuit. GCG downloaded and
21 analyzed the electronic data file that contained a total of 118,356 records. GCG established a

22 dedicated database for the records (“Settlement Database”). The records contained the names,
23 addresses, and telephone numbers of the Class Members.

GCG analyzed the data and removed duplicative information. GCG also identified

25 records that contained the same telephone number, but had two different names and addresses.

1 GCG worked with the Defendant to clarify the actual recipients of the text messages and updated
2 the Settlement Database. There were a total of 59,178 unique records in the Settlement Database.

At Counsel’s request, GCG took all of the telephone numbers (59,178), and

4 conducted a reverse telephone directory search in order to locate any additional Class Members
5 that may have had that particular cellular telephone number at the time of the Class Period. This
6 search resulted in locating 20,630 records that had a different name or address associated with the
7 particular cellular telephone number than what was listed in the original data. These records were
8
9

added to the Settlement Database.

GCG then conducted a review of all the records in the Settlement Database and

10 removed duplicate records and any records with an insufficient mailing address. This resulted in a
11 total of 74,980 records in the Settlement Database.
NOTICE TO THE SETTLEMENT CLASS

Pursuant to the Order Approving Class Notice, Paragraph 2, GCG formatted the

14 Short-Form Notice and the Claim or Exclusion Form (“Notice Packet”) to mail to potential Class
Members. On July 3, 2012, GCG mailed, via first-class U.S. Mail, a total of 74,980 Notice Packets

16 to potential Class Members. A true and correct copy of the Notice Packet is attached hereto as
17 Exhibit A.

As of September 25, 2012, a total of 1,718 Notice Packets were returned to GCG by

19 the U.S. Postal Service with forwarding address information provided. GCG promptly remailed
20 the Notice Packets to the forwarding addresses. As of September 25, 2012, there were 14,665
21 Notice Packets that were returned to GCG as undeliverable without forwarding address
2
22 information. Additionally, GCG promptly mailed a copy of the Notice Packet to any Settlement
23 Class Member who requested one.

GCG established and is maintaining a Settlement Website dedicated to this Lawsuit

26 (www.TEXTCLASSSETTLEMENT.com) to allow Class Members to (i) review the Notice; (ii)

1 receive information regarding frequently asked questions; (iii) download a copy of the Claim or
2 Exclusion Form; (iv) review Court documents, including the Settlement Agreement, the
3 Preliminary Approval Order, the Order Approving Class Notice, and the Motion for Award of
4 Attorneys’ Fees and Cost and Service Award to the Named Plaintiff; (v) review Important Dates
5 relating to the Lawsuit; and (vi) locate GCG’s contact information if the potential Settlement Class
6 Member has additional questions. The Settlement Website address was included in the Notice
7 Packets that were mailed to Class Members. The website went live on July 3, 2012, and is
accessible 24 hours a day, 7 days a week. As of September 25, 2012, GCG has received 875 visits
8
to the website.

TOLL-FREE NUMBER

Beginning on July 3, 2012, GCG set up and is maintaining an automated toll-free

12 number (1-888-624-6705), where potential Class Members can obtain information about the
13 Settlement. This toll-free number was included in the Notice Packets that were mailed to Class
14 Members. This toll-free help line is accessible twenty-four (24) hours a day, seven (7) days a
week. Claimants who call the toll-free number are able to access information about the Lawsuit,
15
16 the Settlement, and have frequently asked questions answered. Claimants also have the option of
17 leaving a voice mail message requesting that a Notice Packet be mailed to them or requesting that a
18 call center representative return their call. As of September 25, 2012, GCG has received 654
19 incoming calls, which entailed 1,582.60 IVR minutes, and received 236 voice messages. Each of
20 these messages was returned promptly.
CLAIMS

Class Members who wanted to be included in the Settlement Class were required to

23 complete a Claim or Exclusion Form, indicating that they were “Participating in the Settlement”
24 and were required to indicate the number of text messages received, whether they had received a
25 second text message after attempting to opt out of receiving text messages, and dating and signing
26 the participation section. The deadline for submitting the form was postmarked no later than
27 September 14, 2012. GCG processed the Claim or Exclusion Forms as they were received and

1 determined whether they were an “Approved Claim” as defined by Section III., A., 1., of the
2 Settlement Agreement. As of September 25, 2012, GCG has received a total of 3,535 Claim or
3 Exclusion Forms, where the claimant indicated they wished to participate in the Settlement. As of
4 September 25, 2012, a total of 2,703 claims were deemed to be Approved Claims. The remaining
5 835 claims have various deficiencies and are being reviewed by Counsel.
DEFICIENCIES

There are five categories of deficiencies with the Claim or Exclusion Form that

have been filed by claimants. They are: (1) Claim or Exclusion Forms with no signature; (2) Claim

9

or Exclusion Forms with inconsistent information; (3) Claim or Exclusion Forms where the

10 claimant did not indicate the number of texts he/she received; (4) Claim or Exclusion Forms where
11 the claimant marked in both the Participation Section and the Exclusion Section of the form; and,
12 (5) Claim or Exclusion Forms where the claimant listed a telephone number that was not included
13 in the original data.

As of September 25, 2012, there are a total of six (6) records in Category One,

where the Claim or Exclusion Forms were not signed.
14.

As of September 25, 2012, there are a total of one hundred and six (106) records in

17 Category Two, where the claimed information is inconsistent. Specifically, the claimants have
18 marked that they only received one text, but then replied “Yes” to the question asking if they
19 requested to opt out from receiving text messages after the first text, but then still received a
20 second text. By answering “Yes” to this question, the claimants would have necessarily received
21 two text messages.

As of September 25, 2012, there are a total of two hundred and sixty-two (262)
22
23 records in Category Three, where the claimant left the number of text messages they received as
24 blank.

As of September 25, 2012, there are a total of thirty-nine (39) records in Category

26 Four, where the claimant marked in both the Participation Section and the Exclusion Section of the
27 form

As of September 25, 2012, there are a total of four hundred and seventy-eight (478)

2 records in Category Five, where the claimant listed a telephone number on the Claim or Exclusion
3 Form that was not included in the original data. Of these four hundred and seventy-eight (478)
4 records, four hundred and twenty-two (422) are otherwise completed claims, and fifty-six (56)
5 have various other deficiencies. All of these claims were from persons who had downloaded the
6 Claim or Exclusion Form from our website, and were not from persons to whom the Notice
7 Packets had been mailed. None of the claims listed a cellular telephone number where records
8

from the Defendants showed a text had been sent.
18.

As of September 25, 2012, the total number of all categories of deficient claims to

10 be resolved is eight hundred and thirty-five (835).
EXCLUSION REQUESTS

Any Class Member who wished to be excluded from or opt-out of the Settlement

13 was required to do so by completing the Claim or Exclusion Form section entitled “Excluding
14 Yourself from the Settlement” by dating and signing the form and mailing it to GCG postmarked
15

no later than September 14, 2012. As of September 25, 2012, GCG had received 541 timely

16 requests for exclusion from potential Class Members and two (2) late requests for exclusion from
17 potential Class Members. A true and correct list of the Class Members requesting exclusion is
18 attached hereto as Exhibit B.
OBJECTIONS

Any Class Member who wished to object to the Settlement was required to inform

21 the Court and the Parties of their intent no later than September 14, 2012. On September 19, 2012,
22 GCG received a Notice of Objection, which was postmarked on September 14, 2012. A true and
23 correct listing of the Class Member who objected is attached hereto as Exhibit C.

GCG has been providing weekly reports to both Parties concerning the number of

26 Claim or Exclusion Forms received, the number of claimants indicating they wished to participate
27 in the Settlement, the number of claimants indicating they wished to be excluded from the

1 Settlement, the number of objections received, the number of visits to the website, the number of
2 calls to the IVR, and the number of administrative mail received. GCG has also been providing
3 both Parties with reports regarding the types and numbers of deficient claims with specific
4 examples.
COSTS OF ADMINISTRATION

GCG has billed Defendant $138,679.28 for costs and fees through August 31, 2012.

7 We anticipate that the final total for administration of this Settlement, including preparing,
processing, and mailing approximately 3,100 checks to Class Members will be $160,500 to

$165,500 (inclusive of costs and fees).

COURT-APPROVED SUMMARY NOTICE OF SETTLEMENT
TO:

A Settlement Class of all persons in the United States who received one or more Text Messages
from or on behalf of Lithia Motors, Inc. (“Lithia”) at any time between April 21, 2007 and
June 11, 2012, including all persons in the United States who received a second Text Message
from Lithia after attempting to opt out of receiving additional Text Messages.
 The Court has preliminarily approved a settlement that will pay you approximately $175 and as
much as approximately $675, depending on how many Text Messages you received and whether
you attempted to opt out of receiving future Text Messages.
 To claim a cash award, you must make a claim on the enclosed “Claim or Exclusion Form”
and return it in the enclosed postage-prepaid envelope postmarked no later than
September 14, 2012.
 You may also exclude yourself from this Lawsuit or object to the settlement. You may also do
nothing, in which case you will give up claims against Lithia but receive no cash award.

In April of 2011, Lithia or people acting on Lithia’s behalf sent Text Messages to the cellular
telephones of customers in portions of the United States. Kevin McClintic filed a class action against
Lithia alleging that these messages were unlawful under state and federal law.
Lithia and McClintic reached a settlement of the class action. Judge Richard A. Jones of the
United States District Court for the Western District of Washington at Seattle preliminarily approved the
settlement. You are a member of the Settlement Class and may receive a cash award by completing the
enclosed “Claim or Exclusion Form” and returning it in the enclosed postage-prepaid envelope. If your
claim is approved and you received one or two Text Messages, you will receive approximately $175.00
for each Text Message you received. If you tried to opt out of receiving Text Messages from Lithia but
still received a second text, you will receive approximately $500.00 for the second text. In the event that
the number of Approved Claims exceeds the amount available to pay claims (approximately $1,740,000),
then payments will be reduced pro rata. If the number of Approved Claims does not exhaust the amount
available to pay claims, then Approved Claim payments will be increased pro rata.

You can exclude yourself from the settlement by marking the appropriate box on the enclosed
“Claim or Exclusion Form” and mailing it in the enclosed postage-prepaid envelope to the Settlement
