Agreement is fair, reasonable and adequate. The Settlement essentially locks in place
the Court’s Orders in this litigation, subject only to differing directives from statute,
3
regulation, or a Final Decision (as defined in the Agreement) from a Washington State
4
appellate court. The Settlement also provides a reasonable mechanism for payment of
5
attorneys’ fees and costs. The Court’s preliminary approval is subject to change
6
pending the outcome of the final settlement approval hearing (“Settlement Approval
7
hearing”) established herein.

(2)
