permanently barred from participating in an offering of penny stock, including engaging in

activities with a broker, dealer, or issuer for purposes of issuing, trading, or inducing or

attempting to induce the purchase or sale of any penny stock. A penny stock is any equity
15
security that has a price of less than five dollars, except as provided in Rule 3a51-1 under the
16
Exchange Act [17 C.F.R. 240.3a51-1].

IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that Defendant is liable
19

The Commission shall hold the funds (collectively, the “Fund”) until further order of
this Court. The SEC may propose a plan to distribute the Fund subject to the Court’s

approval, and the Court shall retain jurisdiction over the administration of any distribution of

the Fund.

The Commission may enforce the Court’s judgment for disgorgement and pre-
4
judgment interest by using all collection procedures authorized by law, including, but not
5
limited to, moving for civil contempt at any time after 30 days following entry of this Final
6
Judgment.

Defendant shall pay post judgment interest on any amounts due after 30 days of the
entry of this Final Judgment, pursuant to 28 U.S.C. § 1961.

VII.
IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that Defendant
11
Shannon D. Doyle shall pay the total remaining disgorgement and prejudgment interest
12
obligation due of $87,636.72, as set forth above, by paying, according to the following
13
schedule: (1) $10,000 within 10 days after entry of this Final Judgment; (2) $38,818.36 within
14
270 days after entry of this Final Judgment; and (3) $38,818.36, plus all accrued post-
15
judgment interest, within 365 days after entry of this Final Judgment. Payments shall be
16
deemed made on the date they are received by the Commission and shall be applied first to
17
post-judgment interest, which accrues pursuant to 28 U.S.C. § 1961 on any unpaid amounts
18
due after 30 days of the entry of Final Judgment. Prior to making the final payment set forth
19
herein, Shannon D. Doyle shall contact the staff of the Commission for the amount due for the
20
final payment.

Defendant may transmit payment electronically to the Commission, which will
22
provide detailed ACH transfer/Fedwire instructions upon request. Payment may also be made
23
directly from a bank account via Pay.gov through the SEC website at
24
http://www.sec.gov/about/offices/ofm.htm. Defendant also may transfer these funds by
25
certified check, bank cashier’s check, or United States postal money order payable to the
26
Securities and Exchange Commission, which shall be delivered or mailed to
27

of this Court; and specifying that payment is made pursuant to this Final Judgment.

If Defendant fails to make any payment by the date agreed and/or in the amount

agreed according to the schedule set forth above, all outstanding payments under this Final
6
Judgment, including post-judgment interest, minus any payments made, shall become due and
7
payable immediately at the discretion of the staff of the Commission without further
8
application to the Court.

IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that the Consent of
11
Shannon D. Doyle, docket no. 75-1, is incorporated herein with the same force and effect as if
12
fully set forth herein, and that Defendant shall comply with all of the undertakings and
13
agreements set forth therein.

IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that, for purposes of
16
exceptions to discharge set forth in Section 523 of the Bankruptcy Code [11 U.S.C. § 523],
17
the allegations in the Complaint are true and admitted by Defendant, and further, any debt for
18
disgorgement, prejudgment interest, civil penalty or other amounts due by Defendant under
19
any judgment, order, consent order, decree or settlement agreement entered in connection
20
with this proceeding, is a debt for the violation by Defendant of the federal securities laws or
21
any regulation or order issued under such laws, as set forth in Section 523(a)(19) of the
22
Bankruptcy Code [11 U.S.C. § 523(a)(19)].

retain jurisdiction of this matter for the purposes of enforcing the terms of this Final

against Digi Outdoor Media, Inc., docket no. 69, and Donald E. MacCord, Jr., docket no. 70,

remaining for the Court’s consideration, this judgment is final within the meaning of Federal
6
Rule of Civil Procedure 58. The Clerk is DIRECTED to enter this Final Judgment forthwith,

to send a copy of this Final Judgment to all counsel of record, and to CLOSE this case.
