OPINION filed: We AFFIRM the district court s orders granting partial summary judgment to defendants on the claim for equitable subordination and with respect to the state law claims arising from the failed sale process; but, because we GRANT plaintiff s motion to certify a question of law [5174294-2], we RESERVE decision with respect to plaintiff s appeal from the order granting partial summary judgment to defendants on Count 1 until after the Supreme Court of Ohio either answers or declines to answer the separately certified question of state law.
