Court for the Northern District of California, a hearing will be held on _________________, 2011,

Northern District of California, 450 Golden Gate Avenue, San Francisco, CA 94102, for the purpose

of determining: (1) whether the proposed settlement of the Litigation for the sum of $38,000,000 in

cash should be approved by the Court as fair, reasonable, and adequate; (2) whether, thereafter, this
9
Litigation should be dismissed with prejudice against the Defendants as set forth in the Stipulation of
10
Settlement dated as of May 31, 2011; (3) whether the Plan of Allocation of settlement proceeds is
11
fair, reasonable, and adequate and therefore should be approved; and (4) the reasonableness of the
12
application of Lead Counsel for the payment of attorneys’ fees and expenses incurred in connection
13
with this Litigation, together with interest thereon.

If you purchased Cadence common stock, or put and call options, 1.375% Notes due
15
December 15, 2011, and/or 1.5% Notes due December 15, 2011 between April 23, 2008 and
16
December 10, 2008, inclusive, your rights may be affected by this Litigation and the settlement

thereof. If you have not received a detailed Notice of Proposed Settlement of Class Action and a
18
copy of the Proof of Claim and Release, you may obtain copies by writing to Cadence Securities
