WI-LAN Inc. v. Alcatel-Lucent USA Inc. et al
Filing
169
Unopposed MOTION Motion to Change Names of Parties by Sony Ericsson Mobile Communications (USA) Inc., Sony Ericsson Mobile Communications AB. (Attachments: # 1 Text of Proposed Order)(Wynne, Richard)
IN THE UNITED STATES DISTRICT COURT
FOR THE EASTERN DISTRICT OF TEXAS
TYLER DIVISION
WI–LAN INC.,
Plaintiff,
v.
CIVIL ACTION NO. 6:10–CV–521–LED
ALCATEL–LUCENT USA INC., et al.,
Defendants.
UNOPPOSED MOTION TO CHANGE NAME OF PARTIES
Defendants Sony Ericsson Mobile Communications AB (“SEAB”) and Sony Ericsson
Mobile Communications (USA) Inc. (“SEUS”) submit this unopposed motion to change the
names of the parties in the Court’s records and docket to correctly state the current names of
these entities.
SEAB is a Swedish corporation that was formed in 2001 as a joint venture between
Telefonaktiebolaget LM Ericsson (“LME”) and Sony Corporation of Japan (“Sony”). In that
structure, both LME and Sony owned fifty percent of the shares of SEAB’s stock. SEUS (a
Delaware corporation) was formed as a wholly owned subsidiary of SEAB.
On February 15, 2012, Sony completed an acquisition of all of LME’s shares in SEAB,
and thus, on that date, SEAB became a wholly owned subsidiary of Sony. On February 24th,
SEAB completed a formal name change to “Sony Mobile Communications AB.”
In this
transaction, SEUS remained a wholly owned subsidiary of SEAB. On February 28th, SEUS
completed a formal name change to “Sony Mobile Communications (USA) Inc.”
–1–
Both SEAB and SEUS continue to operate in the same capacities that they did before
Sony’s acquisition of LME’s stock in SEAB. The change in name from “Sony Ericsson Mobile
Communications” to “Sony Mobile Communications” was made to reflect the divestiture of
Ericsson’s interest in the company.
Accordingly, SEAB and SEUS hereby move the Court to change the names of the parties
in this case as follows:
1.
Sony Ericsson Mobile Communications AB will be changed to Sony Mobile
Communications AB; and
2.
Sony Ericsson Mobile Communications (USA) Inc. will be changed to Sony
Mobile Communications (USA) Inc.
